Common use of Agreement Governs Clause in Contracts

Agreement Governs. This Agreement sets forth the entire agreement of the parties hereto in respect of the subject matter contained herein and supercedes all prior agreements, whether oral or written, by any officer, employee or representative of any party hereto in respect of the subject matter contained herein; and any prior agreement of the parties hereto in respect of the subject matter contained herein is hereby terminated and cancelled. For avoidance of doubt, the parties confirm that the foregoing does not apply to or limit Indemnitee’s rights under Delaware law or the Companies Certificates of Incorporation or By-Laws. This Agreement is to be deemed consistent wherever possible with relevant provisions of the Companies’ By-Laws and Certificates of Incorporation; however, in the event of a conflict between this Agreement and such provisions, the provisions of this Agreement shall control for purposes of determining the parties’ rights and obligations under this Agreement.
