ALL FEES AND EXPENSES PAID. All fees due at or immediately after the first funding under the Revolving Credit and all costs and expenses incurred by the Agent in connection with the establishment of the credit facility contemplated hereby (including the fees and expenses of counsel to the Agent) shall have been paid in full.

ALL FEES AND EXPENSES PAID. All fees due at or immediately after the funding of the Term Loans and all costs and expenses reasonably incurred by the Agent in connection herewith (including the reasonable fees and expenses of counsel to the Agent) shall have been paid (to the extent then invoiced).

ALL FEES AND EXPENSES PAID. (a) The Borrowers shall have paid to the Administrative Agent a Revolving Credit Commitment Fee as set forth in the Fee Letter. Such Revolving Credit Commitment Fee shall be fully earned upon the execution hereof and shall not be subject to refund or rebate under any circumstances.

All fees due on the Closing Date with respect to the Tranche B Loan and all costs and expenses incurred by the Tranche B Lender in connection with the Tranche B Loan (including fees and expenses of counsel to the Tranche B Lender) shall have been paid in full. 3.8.
ALL FEES AND EXPENSES PAID. All fees due at or immediately after the first funding under the Revolving Credit (but only to the extent a funding is requested on the Closing Date), and all reasonable out-of-pocket costs and expenses incurred by the Lender as of the Closing Date in connection with the establishment of the credit facility contemplated hereby (including the reasonable and documented fees and expenses of counsel to the Lender to the extent invoiced) shall have been paid in full.
ALL FEES AND EXPENSES PAID. All accrued fees and expenses of the Agent in connection with the establishment of the Revolving Credit (including the fees and expenses of counsel to the Agent) shall have been paid. No document shall be deemed delivered to the Agent or any Lender until received and accepted by the Agent at its head offices in Boston, Massachusetts. Under no circumstances will the within Agreement take effect until executed and accepted by the Agent at said head office.
