Authorization/Compliance with Laws. (i) Contractor has full power and authority to enter into this Agreement, to grant the rights and licenses herein and to perform its obligations under this Agreement, and that Contractor’s representative who signs this Agreement has the authority to bind Contractor to this Agreement; (ii) the execution, delivery and performance of this Agreement have been duly authorized by all requisite corporate action on the part of Contractor; (iii) Contractor shall not and shall cause Subcontractors not to enter into any arrangement with any Third Party which could reasonably be expected to abridge any rights of the Judicial Branch Entities under this Agreement; (iv) this Agreement constitutes a valid and binding obligation of Contractor, enforceable in accordance with its terms; (v) Contractor is qualified to do business and in good standing in the State of California; (vi) Contractor, its business, and its performance of its obligations under this Agreement comply with all Applicable Laws; and (vii) Contractor pays all undisputed debts when they come due.

Authorization/Compliance with Laws. Each party represents and warrants that: (a) it is duly organized, validly existing, and in good standing in the jurisdiction stated in the preamble to this Agreement; (b) the execution and delivery of this Agreement by such party has been duly and validly authorized; (c) this Agreement constitutes a valid, binding, and enforceable obligation of such party; and (d) such party will comply with all applicable laws, rules, and regulations of any applicable governmental body in performing under this Agreement.
Authorization/Compliance with Laws. Merck warrants that: (i) it is permitted to enter into this Agreement, (ii) the terms of this Agreement are not inconsistent with other contractual obligations (express or implied) it has or may have, and (iii) all research conducted by Merck will comply with all applicable government laws, regulations and guidelines, including, but not limited to, those relating to animal testing, to biotechnological research and to the handling and containment of hazardous and biohazardous materials.
Authorization/Compliance with Laws. The execution, delivery and performance of this Agreement, any supplement hereto, or any agreements, instruments and documents executed and delivered in connection herewith, are within the Borrower’s powers, have been duly authorized, are not in contravention of law or the terms of the Borrower’s Charter, By-Laws, Certificate of Formation, Operating Agreement, or other incorporation/organizational papers, or of any indenture, agreement or undertaking to which the Borrower are a party or by which the Borrower are bound.
Authorization/Compliance with Laws. The execution, delivery and performance of this Agreement by Purchaser and the consummation of the transactions contemplated hereby have been duly authorized by all requisite corporate action, as required under applicable law and no further corporate authorization will be necessary on the part of the Purchaser for the execution, delivery, performance or consummation of this Agreement. The Purchaser has all requisite power and authority to enter into this Agreement and to consummate the transactions contemplated hereby. The execution, delivery and performance of this Agreement and the consummation of the transactions contemplated hereby by Purchaser will not, with or without the giving of notice and/or the passage of time, violate any provision of law applicable to Purchaser or conflict with, result in the breach or termination of any provision of law applicable to Purchaser or conflict with, result in the charter, bylaw, indenture, mortgage, deed of trust or other agreement or instrument to which Purchaser is a party or ________________________ _________________________ (initials) (initials) by which Purchaser, its assets or properties is or may be bound. No approval of any governmental authority or administrative agency is necessary to authorize the execution of this Agreement by Purchaser or the consummation of the transactions contemplated hereby. This Agreement is a valid and binding agreement of the Purchaser enforceable in accordance with its terms.
Authorization/Compliance with Laws. Except with respect to compliance with (i) Laws concerning Taxes (as to which representations and warranties are made only pursuant to Sections 3.12(k), 3.14 and 3.21); (ii) Laws concerning employees and employee benefits (as to which representations and warranties are made only pursuant to Sections 3.20 and 3.21); and (iii) Environmental Laws (as to which representations and warranties are made only pursuant to Section 3.23), the Company and its Subsidiaries are in compliance in all material respects with all applicable Laws. The Company and each of its Subsidiaries have all of the Authorizations material to the conduct of the Business as currently conducted.
Authorization/Compliance with Laws. CMLC is fully authorized to provide the products and/or services being offered to the prospects and customers pursuant to the solicitations to be made by PMG under this Agreement. CMLC further represents and warrants to PMG that all products and/or services and the offering of all products and/or services to be provided by CMLC to the prospects and customers will fully comply with all applicable federal, state and local laws, rules and regulations, including, but not limited to, any federal or state legislation regarding telephone or internet marketing, if applicable.
Authorization/Compliance with Laws. All corporate action on the part of XxxxXxxxxx.xxx, its officers, directors and stockholders necessary for the authorization, execution, delivery and performance of the Roll-Up Agreements by XxxxXxxxxx.xxx, and the performance of all of XxxxXxxxxx.xxx's obligations under the Roll-Up Agreements, has been taken. The Roll-Up Agreements, when executed and delivered by XxxxXxxxxx.xxx, shall constitute valid and binding obligations of XxxxXxxxxx.xxx, enforceable in accordance with their terms. The execution, delivery and performance of the Roll-Up Agreements by XxxxXxxxxx.xxx, and the performance of its business thereunder, will not violate in any material respect any law, rule, regulation, order, agreement, settlement or judgment applicable to XxxxXxxxxx.xxx. All corporate action on the part of CD1, its officers, directors and members necessary for the authorization, execution, delivery and performance of the Roll-Up Agreements by CD1, and the performance of all of CD1's obligations under the Roll-Up Agreements, has been taken. The Roll-Up Agreements, when executed and delivered by CD1, shall constitute a valid and binding obligation of CD1, enforceable in accordance with its terms. The execution, delivery and performance of the Roll-Up Agreements by CD1, and the performance of its business hereunder, will not violate in any material respect any law, rule, regulation, order, agreement, settlement or judgment applicable to CD1.
