Authorized Reseller. A reseller or dealer authorized and added by a Vendor through their online TIPS Vendor Portal to make TIPS sales according to the terms and conditions herein.
Authorized Reseller. Hill-Rom is an authorized reseller of certain third party equipment and Third Party Programs which may comprise the Product. Any such Product purchase is subject to the terms and conditions set forth in certain pass-through provisions or end user agreements from the applicable third party manufacturer or licensor. Suppliers of such products shall be deemed third-party beneficiaries of, and entitled to enforce the applicable provisions of this Agreement.
Authorized Reseller. Fees payable to Authorized Reseller shall be paid as set forth in the applicable Order. Customer shall pay all Fees due to LogRhythm within thirty (30) days from the date of the invoice unless otherwise specified in writing by LogRhythm. Customer shall be responsible for all applicable sales, VAT, use, and other taxes (excluding taxes based on LogRhythm’s income) and all applicable export and import fees, customs duties and similar charges. All Fees are non-refundable unless otherwise expressly stated herein. If Customer purchases product or services through an Authorized Reseller, price and payment terms are between Customer and the Authorized Reseller.
Authorized Reseller. During the term of this Agreement, DGC may indicate to End Users and to the public that it is an authorized reseller of MATERIAL.
Authorized Reseller. Tactacam hereby grants to Reseller the non-exclusive right during the Term to sell the Products to the Customers in the Territory through the Authorized Channels. Capitalized terms used in this Section are defined in Schedule 1 unless otherwise defined in this Agreement. Except as set forth in this Agreement or otherwise approved by Tactacam in writing, Reseller shall not have any right to sell the Products.
Authorized Reseller. The Contractor shall be authorized by the manufacturer to sell and service all products included in Schedule A.
Authorized Reseller. Authorized Reseller is independent entity separate from Nuance. Nuance is not responsible for the actions, statements or recommendations of Authorized Reseller or any obligations that Authorized Reseller has to Company.
Authorized Reseller. As an authorized reseller of Breville Products, Buyer covenants and agrees that it shall, at all times, comply with the following Breville Quality Control measures: (a) inspect all Products and remove any defective Products from their inventory; (b) report any and all such defects to Breville; (c) store Breville Products in accordance with Breville guidelines, including but not limited to the requirement that Breville Products offered for sale by Buyer shall not, without Breville’s prior written consent, be co-mingled or consolidated with Breville Products purchased by, or offered for sale, by any other party. (d) disclose their sources of Breville Products, as requested at anytime by Xxxxxxxx; (e) assist with Product recalls and other consumer safety information efforts; (f) provide ongoing customer support to consumers to ensure the quality and performance of Breville Products; (g) refrain from relabeling, repackaging, or altering Products and their contents; and (h) comply with all Breville rules governing online sales. Failure to comply with any one or more of the above may result, in Xxxxxxxx's sole discretion, in the termination of your authorization to act as a Breville Reseller.
Authorized Reseller. For any Services acquired by Customer through a third party expressly authorized by CloudNatix for such purpose (for purposes hereof, an “Authorized Reseller”), Sections 5.1 through 5.6 above shall not apply (except for CloudNatix’s suspension rights under Section 5.4 above). While all other terms of this Agreement shall continue to apply exclusively to CloudNatix and Customer as stated herein, Customer shall contract directly with the applicable Authorized Reseller with respect to payment for the purchase of the Services provided hereunder.
Authorized Reseller. For purposes of this Agreement, "Authorized Reseller" means any third party that is authorized by PSIGEN to market, sell and distribute the Software, including, without limitation, PSIGEN's resellers and distributors, authorized affiliates of PSIGEN's resellers and authorized resellers of PSIGEN's distributors. If you purchased your Software license through an Authorized Reseller, PSIGEN is providing the Software pursuant to its agreement or contractual arrangement with (or relating to) such Authorized Reseller, and subject to the terms and conditions of this Agreement. You acknowledge and agree, however, that PSIGEN is not responsible for (i) any actions or omissions of such Authorized Reseller or any employees, representatives or other agents of such Authorized Reseller, (ii) any covenants or obligations of such Authorized Reseller under any applicable Purchase Order Documents or any maintenance, support and/or service contracts between you and such Authorized Reseller, (iii) any other or additional obligations that such Authorized Reseller may have to you, (iv) any other products or services that such Authorized Reseller may sell, provide or supply to you, regardless of whether you purchased the Software license through such Authorized Reseller as a stand-alone product or together with other products or services as part of a solution that contains and/or is used in conjunction with any of the Software (or any component(s) thereof), or (v) any alterations, modifications or repair to any of the Software (or any component(s) thereof) done by such Authorized Reseller without PSIGEN's prior written approval.
