Certificate Book. The Trustee shall maintain complete and correct records and books of account of all its transactions as Trustee, and shall maintain a book to be known as the "Certificate Book" setting forth the Beneficiary Accounts and the Beneficiaries thereof, showing their places of residence and the number of Trust Shares represented by the Certificates held by them. Such records and books of account and the Certificate Book shall be available to the Beneficiaries upon written request.

Certificate Book. The Trustee shall maintain complete and correct records and books of account of all his or her transactions as Trustee, and shall maintain a book to be known as the Certificate Book containing the names of all persons who are Beneficiaries, showing their places of residence, the number of Shares represented by the Certificates held by them and other pertinent information (including tax identification numbers). Such records and books of account and the Certificate Book shall be available to the Beneficiaries upon written request; provided, however, that the Trustee shall redact any information he or she deems confidential (such as tax identification numbers, which are confidential per se).
Certificate Book. The Voting Trustee shall keep at the offices of ---------------- HMC correct books of account of all the business and transactions of the Voting Trustee showing all money received by the Voting Trustee, all distributions made by the Voting Trustee, and all unpaid obligations. The Voting Trustee shall also keep at the offices of HMC a book, to be known as the Certificate Book, containing the names of all persons who are Beneficiaries, the addresses to which notice to the Beneficiaries should be sent, the number of Shares represented by the Trust Certificates held by the Beneficiaries at the time when the Beneficiaries became the owners thereof. This Trust Agreement, the books of account of the trust, and the Certificate Book, shall be open for inspection by any Beneficiary, any shareholder of HMC, Marin or HIA who is not a Beneficiary, or the agent of a Beneficiary or a shareholder of HMC, Marin or HIA, upon the same terms as the record of shareholders of HMC, Marin or HIA is open to inspection to such persons.

  • Lost or Destroyed Certificates In case of the alleged loss or destruction of any shareholder certificate, no new certificate shall be issued in lieu thereof, unless there shall first be furnished to CMS an affidavit of loss or non-receipt by the holder of shares with respect to which a certificate has been lost or destroyed, supported by an appropriate bond satisfactory to CMS and the Trust issued by a surety company satisfactory to CMS.

  • Form of the Certificates (a) The Certificates shall be substantially in the form of Exhibit A. The Certificates shall represent the entire beneficial interest in the Trust. The Certificates shall be executed on behalf of the Trust by manual or facsimile signature of a Responsible Officer of the Owner Trustee. Certificates bearing the manual or facsimile signatures of individuals who were, at the time when such signatures shall have been affixed, authorized to sign on behalf of the Trust, shall be duly issued, fully paid and non-assessable beneficial interests in the Trust, notwithstanding that such individuals or any of them shall have ceased to be so authorized prior to the authentication and delivery of such Certificates or did not hold such offices at the date of authentication and delivery of such Certificates.

  • Lost, Stolen or Destroyed Certificates In the event that any Certificates shall have been lost, stolen or destroyed, the Paying Agent shall issue in exchange for such lost, stolen or destroyed Certificates, upon the making of an affidavit of that fact by the holder thereof, the Merger Consideration payable in respect thereof pursuant to Section 2.1 hereof; provided, however, that Parent may, in its discretion and as a condition precedent to the payment of such Merger Consideration, require the owners of such lost, stolen or destroyed Certificates to deliver a bond in such sum as it may reasonably direct as indemnity against any claim that may be made against Parent, the Surviving Corporation or the Paying Agent with respect to the Certificates alleged to have been lost, stolen or destroyed.
