Common use of Certified Copies of Charter Documents Clause in Contracts

Certified Copies of Charter Documents. The Administrative Agent shall have received from each of the Borrower and the other members of the Borrower Affiliated Group a copy, certified by a duly authorized officer of each of the Borrower and such other members of the Borrower Affiliated Group to be true and complete on the Closing Date, of (i) its charter or other formation documents, as in effect on such date of certification, certified as of a recent date by the Secretary of State of its jurisdiction of incorporation or formation, and (ii) where applicable, its by-laws or limited liability company agreement as in effect on such date.

The Administrative Agent shall have received from each of the Borrower and the other members of the Borrower Affiliated Group Borrowers a copy, certified by a duly authorized officer of each of the Borrower and such other members of the Borrower Affiliated Group Person to be true and complete on the Closing Date, of (ia) its charter or other formation documents, incorporation documents as in effect on such date of certification, certified as of a recent date by the Secretary of State of its jurisdiction of incorporation or formation, certification and (iib) where applicable, its by-laws or limited liability company agreement as in effect on such date.

The Administrative Agent shall have received from each of the Borrower and the other members of the Borrower Affiliated Group Borrowers a copy, certified by a duly authorized officer of each of the Borrower and such other members of the Borrower Affiliated Group Person to be true and complete on the Closing Date, of (ia) its charter or other formation documents, incorporation documents as in effect on such date of certification, certified as of a recent date by the Secretary of State of its jurisdiction of incorporation or formation, certification and (iib) where applicable, its by-laws or limited liability company agreement as in effect on such date. The Administrative Agent shall have received from each of the Borrowers a good standing certificate (or other similar certificate), if applicable, dated as of a recent date in each such Borrower’s jurisdiction of incorporation.

Certified Copies of Charter Documents. The Administrative Agent shall have received from each of the Borrower and the other members of the Borrower Affiliated Group each Significant Subsidiary a copy, certified by a duly authorized officer of each of the Borrower and such other members of the Borrower Affiliated Group Significant Subsidiary to be true and complete on the Closing Date, of (i) its charter or other formation documents, as in effect on such date of certification, certified (where applicable) as of a recent date by the Secretary of State of its jurisdiction of incorporation or formationincorporation, and (ii) where applicable, its by-laws or limited liability company agreement as in effect on such date.

The Administrative Agent Agents shall have received from each of the Borrower and the other members each Subsidiary of the Borrower Affiliated Group Borrower, other than any Excluded Subsidiary, a copy, certified by a duly authorized officer copy of each of the Borrower and such other members of the Borrower Affiliated Group to be true and complete on the Closing Date, of (ia) its charter or other formation incorporation documents, certified by the Secretary of State of the jurisdiction of incorporation of such Person, as in effect on such date of certification, certified as of a recent date by the Secretary of State of its jurisdiction of incorporation or formation, and (iib) where applicable, its by-laws or limited liability company agreement laws, certified by a duly authorized officer of such Person to be true and complete on the Closing Date as in effect on such date.
