Certified Copies of Charter Documents. Each Lender shall have received (i) the Charter and Good Standing Documents, all in form and substance reasonably acceptable to Lenders, and (ii) a certificate of the corporate secretary or assistant secretary of Borrower, dated the Closing Date, as to the incumbency and signature of the Persons executing the Loan Documents, in form and substance reasonably acceptable to Lenders.
