Change of Personnel. A. CONSULTANT shall correct at no added cost to City all errors, issues, problems found with the services provided during the term of the engagement and any warranty period specified in the task order.

Change of Personnel. The Seller and the Target Company agree to complete the change of the legal representative and DSSs of the Target Company according to the requirements of the Buyer under this Transaction; see Appendix II hereto for the specific arrangement of the above personnel change.

If an individual designated as Key Personnel becomes unavailable for one of the reasons specified in Section 1.7.2 herein, CONTRACTOR shall provide DLEC with a resume of a proposed replacement within a ten working day period and will offer DLEC an opportunity to interview the replacement. In no event will the interview of the replacement of the Key Personnel take more than five business days following the day the former Key Personnel becomes unavailable, unless expressly waived in writing by DLEC. If DLEC determines that the replacement proposed by CONTRACTOR does not have the ability and experience to perform the services required under this Agreement, DLEC will so notify CONTRACTOR within a two-day period after the interview. In that situation, the process will be repeated until DLEC has approved a replacement proposed by CONTRACTOR.

In no event will the interview of the replacement of the Key Personnel take more than five business days following the day the former Key Personnel becomes unavailable, unless expressly waived in writing by the Customer. If the Customer determines that the replacement proposed by Vendor does not have the ability and experience to perform the services required under this Agreement, the Customer will so notify Vendor within a two-day period after the interview. In that situation, the process will be repeated until the Customer has approved a replacement proposed by Vendor.
