Common Share Certificates. Common Shares issued upon exercise of Warrants to a person who does not provide the certificate referred to in Subsection 3.2(a) hereof in connection with the exercise of the Warrants shall bear a legend in substantially the following form: THE SECURITIES REPRESENTED HEREBY HAVE NOT BEEN REGISTERED UNDER THE UNITED STATES SECURITIES ACT OF 1933, AS AMENDED (THE "SECURITIES ACT") OR STATE SECURITIES LAWS. THE HOLDER HEREOF, BY PURCHASING SUCH SECURITIES, AGREES FOR THE BENEFIT OF RED MILE ENTERTAINMENT, INC. THAT SUCH SECURITIES MAY BE OFFERED, SOLD OR OTHERWISE TRANSFERRED ONLY (A) TO RED MILE ENTERTAINMENT, INC., (B) OUTSIDE THE UNITED STATES IN ACCORDANCE WITH RULE 904 OF REGULATION S UNDER THE SECURITIES ACT, (C) INSIDE THE UNITED STATES IN ACCORDANCE WITH RULE 144A UNDER THE SECURITIES ACT, OR (D) INSIDE THE UNITED STATES, PURSUANT TO ANOTHER EXEMPTION FROM REGISTRATION UNDER THE SECURITIES ACT AND APPLICABLE STATE SECURITIES LAWS AFTER PROVIDING A LEGAL OPINION REASONABLY SATISFACTORY TO RED MILE ENTERTAINMENT, INC. For the purposes of issuing certificates representing the Common Shares issuable upon the exercise of the Warrants, the Trustee and the Transfer Agent for the Common Shares may rely upon the representation and warranty of the Warrantholder made in the Exercise Form attached to the Warrant certificate for the purpose of determining whether such person is in the United States.
Common Share Certificates. If and to the extent that Shares shall be issuable in certificated form upon exercise of Definitive Warrants in accordance with the terms of this Agreement, the Company shall so notify the Warrant Agent. The Warrant Agent shall thereafter be authorized to request from time to time from the Transfer Agents stock certificates required to honor the exercise of outstanding Definitive Warrants, and the Company shall authorize and direct the Transfer Agent to comply with all such requests of the Warrant Agent. The Company shall supply the Transfer Agent with duly executed stock certificates for such purposes and shall provide or otherwise make available any cash that may be payable upon exercise of Warrants in lieu of the issuance of fractional Shares.
Common Share Certificates. At the instruction of the Corporation, Common Shares issued to U.S. Persons pursuant to exercise of the Purchase Warrants may bear a legend in substantially the following form: "The securities represented hereby have not been registered under the United States Securities Act of 1933, as amended (the "Securities Act") or applicable state securities laws. The holder hereof, by purchasing such securities, agrees for the benefit of the Corporation that such securities may be offered, sold or otherwise transferred only (a) to the Corporation, (b) outside the United States in accordance with Rule 904 of Regulation S under the Securities Act (c) pursuant to the exemption from registration under the Securities Act provided by Rule 144 thereunder, if applicable, or (d) pursuant to another exemption from registration after providing a satisfactory legal opinion to the Corporation. Delivery of this certificate does not constitute "good delivery" in settlement of transactions on The Alberta Stock Exchange. A new certificate, bearing no legend, delivery of which will constitute "good delivery" in settlement of transactions on The Alberta Stock Exchange, may be obtained from the Montreal Trust Company of Canada upon delivery of this certificate and duly executed declaration, in form satisfactory to the Montreal Trust Company of Canada and the Corporation, to the effect that the sale of the securities represented hereby is being made in compliance with Rule 904 of Regulation S under the Securities Act, together with such other documentation as may be requested by the Corporation." and may also contain such other legends as may be required by applicable securities regulatory requirements, authorities or stock exchanges including, without limitation, The Alberta Stock Exchange.
Common Share Certificates. Notwithstanding anything herein contained, Common Shares will only be issued pursuant to the exercise of the Warrants in compliance with Applicable Legislation. At the instruction of the Corporation, Common Shares issued in connection with the exercise of the Warrants may bear such legends as may be required by Applicable Legislation.

Common Share Certificates. Subject to Section 3.5, within five Business Days after the Exercise Date with respect to a Warrant, the Corporation shall cause to be mailed to the person or persons in whose name or names the Common Shares have been issued pursuant to Section 3.3, as specified in the exercise form for such Warrant Certificate, at the address specified in such exercise form or, if so specified in such exercise form, cause to be delivered to such person or persons at the Warrant Agency where such Warrant Certificate was surrendered, one or more share certificates for such Common Shares.

  • Share Certificates In lieu of issuing certificates for shares, the Trustees or the transfer agent either may issue receipts therefor or may keep accounts upon the books of the Trust for the record holders of such shares, who shall in either case, for all purposes hereunder, be deemed to be the holders of certificates for such shares as if they had accepted such certificates and shall be held to have expressly assented and agreed to the terms hereof. The Trustees at any time may authorize the issuance of share certificates. In that event, each shareholder shall be entitled to a certificate stating the number of shares owned by him or her, in such form as shall be prescribed from time to time by the Trustees. Such certificate shall be signed by the President or Vice President and by the Treasurer or Assistant Treasurer. Such signatures may be facsimile if the certificate is signed by a transfer agent, or by a registrar, other than a Trustee, officer or employee of the Trust. In case any officer who has signed or whose facsimile signature has been placed on such certificate shall cease to be such officer before such certificate is issued, it may be issued by the Trust with the same effect as if he or she were such officer at the time of its issue.

  • Legend on Common Share Certificates Certificates representing Common Shares which are issued after the Record Time but prior to the earlier of the Separation Time and the Expiration Time, shall evidence, in addition to the Common Shares, one Right for each Common Share represented thereby and shall or shall be deemed to have impressed on, printed on, written on or otherwise affixed to them a legend substantially as follows: Until the Separation Time (defined in the Rights Agreement below), this certificate also evidences the holder's rights described in a Shareholder Rights Plan Agreement dated as of June 12, 2013 (the "Rights Agreement") between Quaterra Resources Inc. (the “Corporation”) and Computershare Investor Services Inc., as the same may from time to time be amended, the terms of which are incorporated herein by reference and a copy of which is on file at the principal office of the Corporation. Under certain circumstances set out in the Rights Agreement, the Rights may be amended or redeemed, may expire, may become void (if, in certain circumstances, they are "Beneficially Owned" by an "Acquiring Person", as such terms are defined in the Rights Agreement, or a transferee thereof) or may be evidenced by separate certificates and no longer evidenced by this certificate. The Corporation will mail or arrange for the mailing of a copy of the Rights Agreement to the holder of this certificate without charge as soon as practicable after the receipt of a written request therefor. Certificates representing Common Shares that are issued and outstanding at the Record Time shall also evidence one Right for each Common Share represented thereby, notwithstanding the absence of the foregoing legend, until the earlier of the Separation Time and the Expiration Time.

The parties to this Agreement do hereby agree that the failure to cause the certificates evidencing the Shares to bear the legend required by this Section 7.12 and/or the failure of the Company to supply, free of charge, a copy of this Agreement as provided hereunder shall not affect the validity or enforcement of this Agreement.
