Company Preferred Stock Conversion. The Company shall have effected a conversion of all Company Preferred Stock into Company Common Stock as of immediately prior to the Effective Time (the “Company Preferred Stock Conversion”).
Company Preferred Stock Conversion. Immediately prior to the Closing and effective as of the Effective Time, (i) all outstanding shares of Series A Preferred Stock shall have been converted into shares of Company Common Stock pursuant to the vote or written consent of the holders of a majority of the outstanding shares of Series A Preferred Stock at the time of such vote or consent, voting together as a single class on an as-converted basis, (ii) all outstanding shares of Series B Preferred Stock shall have been converted into shares of Company Common Stock pursuant to the vote or written consent of the holders of a majority of the outstanding shares of Series B Preferred Stock at the time of such vote or consent, voting together as a single class on an as-converted basis (the events referred to in clauses (i) and (ii), collectively, the “Preferred Stock Conversion”) and (iii) the Company shall have delivered written evidence of the Preferred Stock Conversion to Parent.
Company Preferred Stock Conversion. On the Closing Date, immediately prior to the First Effective Time, subject to and contingent upon the consummation of the First Merger, each share of Company Preferred Stock that is issued and outstanding immediately prior to the First Effective Time shall be automatically converted immediately prior to the First Effective Time into (i) a number of shares of Company Common Stock at the then-effective conversion rate as calculated pursuant to the Company Charter in accordance with the terms of the Company Charter and (ii) a number of shares of Company Common Stock issuable with respect to any accrued dividends in accordance with the terms of the Company Charter ((i) and (ii) collectively, the “Company Preferred Stock Conversion”). All of the shares of Company Preferred Stock converted into shares of Company Common Stock shall be canceled, shall no longer be outstanding and shall cease to exist and no payment or distribution shall be made with respect thereto, and each holder of shares of Company Preferred Stock shall thereafter cease to have any rights with respect to such securities.
Company Preferred Stock Conversion. Subject to the written consent of the holders of (a) at least fifty percent (50%) of the shares of Series A Preferred Stock and (b) at least fifty percent (50%) of the shares of Company Preferred Stock (on an as converted basis), in each case in accordance with Section 5.1(b) of Part B of Article Fourth of the Company’s certificate of incorporation, immediately prior to the Merger Effective Time, each share of Company Preferred Stock that is issued and outstanding immediately prior to such time shall automatically convert into a number of shares of Company Common Stock in accordance with the Company’s certificate of incorporation (collectively, the “Company Preferred Stock Conversion”). All of the shares of Company Preferred Stock converted into shares of Company Common Stock shall no longer be outstanding and shall cease to exist, and each holder of Company Preferred Stock shall thereafter cease to have any rights with respect to such securities.

For purposes of this Agreement, the "current per share market price" of one one-hundredth of a Preferred Share shall be equal to the "current per share market price" of one Preferred Share divided by 100.

The number of authorized shares of Preferred Stock may be increased or decreased (but not below the number of shares thereof then outstanding) by the affirmative vote of the holders of a majority of the stock of the Corporation entitled to vote, irrespective of the provisions of Section 242(b)(2) of the DGCL.
