Conditions Precedent to the Obligation of the Purchaser to Close. The obligation hereunder of the Purchaser to perform its obligations under this Agreement and to purchase the Shares is subject to the satisfaction or waiver, at or before the Initial Closing, of each of the conditions set forth below. These conditions are for the Purchaser's sole benefit and may be waived by the Purchaser at any time in its sole discretion.

The obligation hereunder of the Purchaser to purchase the Purchased Shares and to extend the Loan Amount is subject to the fulfillment at or before the Closing of the following conditions precedent, any one or more of which may be waived in writing, in whole or in part, by the Purchaser, which waiver shall be at the sole discretion of the Purchaser:

The obligation hereunder of the Purchaser to purchase the Purchased Shares and to extend the Loan Amount is subject to the fulfillment at or before the Closing (which shall take place simultaneously as part of a single transaction, together with the closing of the investment by Tikero Technologies Ltd. (“Tikero”) pursuant to the Subscription and Registration Rights Agreement by and between Tikero and the Company dated as of June 2008) of the following conditions precedent any one or more of which may be waived in writing, in whole or in part, by the Purchaser, which waiver shall be at the sole discretion of the Purchaser:

Conditions Precedent to the Obligation of the Purchaser to Close. 9.1. The obligation of the Purchaser to consummate the transactions contemplated herein shall be subject to the fulfillment, at or before the Closing Date, of all of the conditions set forth below in this Section 9. The Purchaser may waive in its sole discretion any or all of such conditions in whole or in part without prior notice.
