Such documents and certificates as the Administrative Agent or its counsel may reasonably request relating to the organization, existence and good standing of the Borrower, the authorization of the Transactions and any other legal matters relating to the Borrower, this Agreement or the Transactions, all in form and substance satisfactory to the Administrative Agent and its counsel.

Such documents and certificates as the Administrative Agent or its counsel may reasonably request relating to the organization, existence and good standing of the BorrowerObligors, the authorization of the Transactions and any other legal matters relating to the BorrowerObligors, this Agreement or the Transactions, all in form and substance satisfactory to the Administrative Agent and its counsel.

Such documents and certificates as the Administrative Agent or its counsel may reasonably request relating to the organization, existence and good standing of the such Subsidiary Borrower, the authorization of the Transactions and any other legal matters relating to the such Subsidiary Borrower, this Agreement Agreement, the Subsidiary Borrower Designation Letter or the Transactions, all in form and substance satisfactory to the Administrative Agent and its counsel.

Such documents and certificates as the U.S. Administrative Agent or its counsel may reasonably request relating to the organization, existence and good standing of the each Borrower, the authorization of the Transactions and any other legal matters relating to the BorrowerBorrowers, this Agreement or the Transactions, all in form and substance satisfactory to the U.S. Administrative Agent and its counsel.

Such documents and certificates as the U.S. Administrative Agent or its counsel may reasonably request relating to the organization, existence and good standing of the such Subsidiary Borrower, the authorization of the Transactions and any other legal matters relating to the such Subsidiary Borrower, this Agreement Agreement, the Subsidiary Borrower Designation Letter or the Transactions, all in form and substance satisfactory to the U.S. Administrative Agent and its counsel.

Such documents and certificates as the Administrative Agent or its their counsel may reasonably request relating to the organization, existence and good standing of the Borrower, the authorization of the Transactions and any other legal matters relating to borrowings hereunder by the Borrower, this Agreement or each of which shall be reasonably satisfactory to the Transactions, all Lead Arranger in form and substance satisfactory to the Administrative Agent and its counselsubstance.

A certificate, all dated the Effective Date and signed by the President, the Chief Executive Officer, a Vice President or a Responsible Officer of the Borrower, confirming compliance with the conditions set forth in form and substance satisfactory to the Administrative Agent and its counselSection 4.02.

Such documents and certificates as the Administrative Agent or its counsel may reasonably request relating to (i) the organization, existence and good standing of the each Borrower, (ii) the authorization of the Transactions execution, delivery and any other legal matters relating to performance by each Borrower of this Agreement, and of the borrowings hereunder by each Borrower, this Agreement or the Transactions, all in form and substance satisfactory to the Administrative Agent and its counsel., and (iii) certificates as to the incumbency and signature of each individual signing this Agreement and any other agreement or document contemplated hereby on behalf of the Borrowers;

Such documents and certificates as the Administrative Paying Agent or its counsel may reasonably request relating to the organization, existence and good standing of the Borrowereach Obligor, the authorization of the Transactions and any other legal matters relating to the BorrowerObligors, this Agreement or the Transactions, all in form and substance reasonably satisfactory to the Administrative Paying Agent and its counsel.

Such documents and certificates as the Administrative Agent or its counsel may reasonably request relating to the organization, existence and good standing of the BorrowerBorrower and the Subsidiary Account Parties, the authorization of the Transactions and any other legal matters relating to the Borrower, the Subsidiary Account Parties, this Agreement or the Transactions, all in form and substance satisfactory to the Administrative Agent and its counsel.

Corporate Documents. Such documents and certificates as the Administrative Agent Agent, any Arranger or its their counsel may reasonably request relating to the organization, existence and good standing of the BorrowerObligors, the authorization of the Transactions and any other legal matters relating to borrowings hereunder by the Borrower, this Agreement or and the TransactionsGuarantee of the Guaranteed Obligations by the Guarantors, all each of which shall be reasonably satisfactory to the Arrangers in form and substance satisfactory to the Administrative Agent and its counselsubstance.

Corporate Documents. Such documents and certificates as the Administrative Agent or its counsel may reasonably request relating to the organization, existence and good standing of the BorrowerBorrower and Holdings, the authorization of the Transactions and any other legal matters relating to the Borrower, this Agreement or the Transactions, all in form and substance satisfactory to the Administrative Agent and its counselincumbency of officers.

Corporate Documents. Such documents and certificates as the Administrative Agent or its counsel may reasonably request relating to the organization, existence and good standing of the Borrowereach Obligor, the authorization of the Transactions and any other legal matters relating to the BorrowerObligors, this Agreement or the Transactions, all in form and substance satisfactory to the Administrative Agent and its counsel.. Without limiting the foregoing , the following evidence and documents shall be furnished, each of which documents shall be certified as indicated below:

Corporate Documents. Such documents and certificates as the Administrative Agent or its counsel may reasonably request relating to the organization, existence and good standing of the BorrowerObligors, the authorization of the Transactions and any other legal matters relating to the BorrowerObligors, this Agreement Amendment or the Transactions, all in form and substance satisfactory Transactions as each relates to the Administrative Agent and its counselObligors.

Corporate Documents. Such documents and certificates as the U.S. Administrative Agent or its counsel may reasonably request relating to the organization, existence and good standing of the Borrowereach Borrower and each Subsidiary Guarantor, the authorization of the Transactions and any other legal matters relating to the BorrowerBorrowers and the Subsidiary Guarantors, this Agreement or the Transactions, all in form and substance satisfactory to the U.S. Administrative Agent and its counsel.

Corporate Documents. Such documents and certificates as the Administrative Agent or its counsel may reasonably request relating to the organization, existence and good standing of the Borrowereach Obligor, the authorization of the Transactions and any other legal matters relating to the BorrowerObligors, this Agreement or the Transactions, all in form and substance satisfactory to the Administrative Agent and its counsel.;

Such documents and certificates as the Administrative Agent or its counsel may reasonably request relating to the organization, existence and Credit Agreement good standing of the Borrowereach Obligor, the authorization of the Transactions and any other legal matters relating to the BorrowerObligors, this Agreement Agreement, the other Loan Documents or the Transactions, all in form and substance satisfactory to the Administrative Agent and its counsel.
