Common use of Counsel Fees and Disbursements Clause in Contracts

Counsel Fees and Disbursements. In connection with each Demand Registration, each Piggyback Registration and each Shelf Offering that is an underwritten Public Offering, the Company shall reimburse the holders of Registrable Securities included in such registration for the reasonable fees and disbursements of one counsel chosen by the holders of a majority of the Registrable Securities included in such registration or participating in such Shelf Offering and disbursements of each additional counsel retained by any holder of Registrable Securities for the purpose of rendering a legal opinion on behalf of such Holder in connection with any underwritten Demand Registration, Piggyback Registration or Shelf Offering.

Counsel Fees and Disbursements. In connection with each Demand Registration, each Piggyback Registration and each Shelf Offering that is an underwritten Public Offeringoffering, the Company shall reimburse the holders of Registrable Securities included Holders participating in such registration (i) for the reasonable fees and disbursements of one counsel chosen by the holders of Holders holding a majority of the Registrable Securities included in such registration or participating in such Shelf Offering and (ii) for the reasonable fees and disbursements of each additional counsel retained by any holder of Registrable Securities for the purpose of rendering a legal opinion on behalf of any such Holder holder in connection with any underwritten Demand Registration, Piggyback Registration or Shelf Offering.

In connection with each Demand Registration, each Piggyback Registration and each Shelf Offering that is an underwritten Public Offering, the Company Corporation shall reimburse the holders Holders of Registrable Securities included in such registration for the reasonable fees and disbursements of one counsel chosen by the holders of Holders representing a majority of the Registrable Securities included in such registration or participating in such Shelf Offering and disbursements of each additional counsel retained by any holder of Registrable Securities Holder for the purpose of rendering a legal opinion on behalf of such Holder in connection with any underwritten Demand Registration, Piggyback Registration or Shelf Offering.

In connection with each Demand Registration, each Piggyback Registration and each Shelf Offering that is an underwritten Public Offering, the Company shall reimburse the holders Holders of Registrable Securities included in such registration for the reasonable fees and disbursements of (i) one counsel chosen by the holders of Holders representing a majority of the Registrable Securities included in such registration or participating in such Shelf Offering Offering, and disbursements of (ii) each additional counsel retained by any holder of Registrable Securities Holder for the purpose of rendering a legal an opinion on behalf of such Holder in connection with any underwritten Demand Registration, Piggyback Registration or Shelf Offering that is an underwritten Public Offering, where the counsel referred to in clause (i) is unable or unwilling to render an opinion on behalf of such Holder.

In connection with each Demand Registration, each Piggyback Registration and each Shelf Offering that is an underwritten Public Offering, the Company Partnership shall reimburse the holders of Registrable Securities Holders included in such registration for the reasonable fees and disbursements of one counsel chosen by the holders of a majority of the Registrable Securities included in such registration or participating in such Shelf Offering and disbursements of each additional counsel retained by any holder of Registrable Securities Holder for the purpose of rendering a legal opinion on behalf of such Holder in connection with any underwritten Demand Registration, Piggyback Registration or Shelf Offering.

In connection with each Demand Registration, each Piggyback Registration and each Shelf Offering that is an underwritten Public Offering, the Company Partnership shall reimburse the holders of each Sponsor holding Registrable Securities and included in such registration or participating in such Shelf Offering for the reasonable fees and disbursements of one such Sponsor’s counsel chosen by the holders of a majority of the such Sponsor holding Registrable Securities included in such registration or participating in such Shelf Offering and disbursements of each additional counsel retained by any holder of Registrable Securities Holder for the purpose of rendering a legal opinion on behalf of such Holder in connection with any underwritten Demand Registration, Piggyback Registration or Shelf Offering.
