Covenant to Sign Documents. Each Member covenants, for himself or herself and his or her successors and assigns, to execute, with acknowledgment or verification, if required, any and all certificates, documents and other writings which may be necessary or expedient to form the Company and to achieve its purposes, including the Certificate and all amendments thereto, and all such filings, records or publications necessary or appropriate laws of any jurisdiction in which the Company shall conduct its business.
Covenant to Sign Documents. Without limiting the power granted by Sections 2.8 and 2.9, each Partner covenants, for himself and his successors and assigns, to execute, with acknowledgment or verification, if required, any and all certificates, documents and other writings which may be necessary or expedient to form the Partnership and to achieve its purposes, including, without limitation, the Certificate of Limited Partnership and all amendments thereto, and all such filings, records or publications necessary or appropriate laws of any jurisdiction in which the Partnership shall conduct its business.

Subject to the provisions of this Agreement, each party hereto agrees to execute, with acknowledgment or affidavit, if required, any and all documents and writings which, in the judgment of the Manager, may be necessary or expedient in connection with the Company, or any applicable Series, and the achievement of its purposes, specifically including all such agreements, certificates, tax statements, tax returns and other documents as may be required of the Company, a Series or the Members by the laws of the United States of America or any jurisdiction in which the Company or any Series conducts or plans to conduct business, or any political subdivision or agency thereof, including, but not limited to, certifications in accordance with the requirements of Code Section 1446 regarding withholding taxes on foreign persons.

Without limiting the power of attorney granted in Section 7.1, each Investor agrees to execute, with acknowledgement or verification, if required, any and all certifications, document and other writings which may be necessary or expedient to carry out the transactions contemplated by this Agreement, including, without limitation, all such filings, records or publications necessary or appropriate in the judgment of the Manager to comply with the applicable laws of any jurisdiction in which the Company conducts its business.

Each Member will execute, with acknowledgement or by affidavit if required, all documents and writings reasonably necessary or expedient in the creation of AVGF and the achievement of its purpose, including certifications in accordance with the requirements of Code Section 1446 regarding withholding taxes on foreign persons.
