COVENANTS OF THE SELLER AND THE DEPOSITOR. The Seller and the Depositor agree with each other as follows; provided, however, that to the extent that any provision of this Article conflicts with any provision of the Sale and Servicing Agreement, the Sale and Servicing Agreement shall govern:
COVENANTS OF THE SELLER AND THE DEPOSITOR. (a) Pursuant to the conveyance clause hereof, the Seller has conveyed to the Depositor and the Depositor has conveyed to the Trustee all of the Seller's right, title and interest in its rights and benefits, but none of its obligations or burdens, under the Loan Purchase Agreement, including without limitation, the benefit of the representations, warranties and covenants and cure, repurchase or substitution obligations of the Originator under the Loan Purchase Agreement. Each of the Seller and the Depositor hereby represents and warrants to the Trustee on behalf of the Owners and the Certificate Insurer that each such assignment is valid, enforceable and effective to permit the Trustee to enforce such obligations of the Originator under the Loan Purchase Agreement. The Originator has made the representations and warranties regarding the Affiliate Loans as set forth in the Loan Purchase Agreement and has agreed to certain actions as specified in the Loan Purchase Agreement.
