Duties and Reporting Relationship. During the Term, the Executive shall, on a full time basis, use his skills and render services to the best of his ability in supervising and conducting the operations of the Company.
Duties and Reporting Relationship. During the Term, the Executive shall, on a full time basis, use the Executive's skills and render services to the best of the Executive's abilities in supervising and conducting the operations of the Company and shall not engage in any other business activities except with the prior written approval of the Board of Directors of the Company (the "Board") or its duly authorized designee. The Executive shall also perform such other executive and administrative duties (not inconsistent with the position of EVP and Chief Financial Officer) as the Executive may reasonably be expected to be capable of performing on behalf of the Company, as may from time to time be authorized or directed by the Board or the Chief Executive Officer. The Executive agrees to be employed by the Company in all such capacities for the Term, subject to all the covenants and conditions hereinafter set forth.
Duties and Reporting Relationship. During the Term, the Employee shall, on a full-time basis, use his skills and render services to the best of his abilities on behalf of the Company. The Employee shall report directly to the Board. The Employee shall comply with all of the policies and procedures applicable to officers and employees of the Company.
Duties and Reporting Relationship. From time to time --------------------------------- during the Term, the Consultant shall perform such services relating to the business of Purchaser as the Consultant and the President of the Purchaser (or his designee) shall mutually agree. The Consultant shall in no event be required to provide more than ten (10) hours per week of consulting services to Purchaser for the first three months of the Term, and no more than twenty (20) hours per month of consulting services to Purchaser thereafter, except in each case as agreed to by the Consultant. The scheduling of such time shall be at the Consultant's sole discretion. Except as provided in Article IV hereof, Purchaser acknowledges that the Consultant is permitted to pursue other activities, whether of a personal or business nature, and, accordingly, may not always be immediately available to Purchaser.
Duties and Reporting Relationship. During the Term, the Employee shall devote one hundred percent of the Employee’s regular business time and, on a full-time basis, use the Employee’s skills and render services to the best of the Employee’s abilities on behalf of the Company. The Employee shall report directly to the Chief Executive Officer of the Company (the “Supervisor”). The Employee agrees that to the best of the Employee’s ability, the Employee will make all efforts to loyally and conscientiously perform the duties and obligations required of and from the Employee pursuant to the terms of this Agreement. The Employee shall be responsible for all duties reasonably associated with the Position, as determined by the Supervisor, as may be updated from time to time. The Employee shall comply with all of the lawful policies and procedures of the Company.
Duties and Reporting Relationship. (a) Upon the Effective Date, the Executive shall be employed as the Chief Executive Officer of both the Company and Holdings, and shall have the rights, powers, authorities and duties commensurate with the position of the Chief Executive Officer. The Executive shall also be appointed to the Board of Directors of Holdings (the “Board”) at the next regularly scheduled meeting of the Board after the Effective Date. During the Term (as defined below), the Executive shall, on a full-time basis and consistent with the needs of the Company and Holdings to achieve the goals of the Company and Holdings, use her skills and render services to the best of her ability, and devote all of her working time and efforts, in supervising the business affairs of the Company and Holdings. In addition, the Executive shall perform such other activities and duties consistent with her position as the Board shall from time to time reasonably specify and direct. During the Term, the Executive shall not perform any consulting services for, or engage in any other business enterprises with, any third parties without the express written consent of the Board, other than (i) passive investments, (ii) service as a director on the board of directors of LendingTree, Inc., or (iii) service on other boards of directors with the express written consent of the Board.
Duties and Reporting Relationship. As CEO, you will report to the Company’s Board of Directors (the “Board”). You will be responsible for the general management of the affairs of the Company and you may be asked to perform other duties as our business needs dictate. You will work primarily out of the Company’s office in San Francisco, California. Of course, the Company may change your position, reporting relationship, duties and work location from time to time in its discretion, subject to the other terms in this Agreement.
Duties and Reporting Relationship. (a) The Executive shall be employed in the capacity of Executive Vice President, Engineering, of the Company. During the Term (as defined below), the Executive shall, on a full-time basis, use his skills and render services to the best of his ability in supervising the engineering and technology development affairs of the Company and shall, in addition, perform such other activities and duties consistent with his position as the Chairman and Chief Executive of the Company shall, from time to time, reasonably specify and direct. It is acknowledged that the Executive has made, and may continue to make, passive investments which will require a portion of his time and attention but Executive agrees that such investments will not interfere with his full-time commitment to the Company. The Executive shall not be required by this Agreement to perform duties for any entity other than the Company and its subsidiaries.
Duties and Reporting Relationship. (a) The Executive shall continue his employment as the President and Chief Content Officer of the Company. In such capacity, the Executive shall be responsible for management of all aspects of the Company’s programming functions and all personnel working in such areas shall report to the Executive. During the Term (as defined below), the Executive shall, on a full-time basis and consistent with the needs of the Company, use his skills and render services to the best of his ability. The Executive shall perform such activities and duties consistent with his position as the Chief Executive Officer of the Company shall from time to time reasonably specify and direct. During the Term, the Executive shall not perform any consulting services for, or engage in any other business enterprises with, any third parties without the express written consent of the Chief Executive Officer of the Company or the General Counsel of the Company, other than passive investments.
Duties and Reporting Relationship. (a) The Executive shall be employed in the capacity of Executive Vice President and Chief Administrative Officer of both the Company and Sirius XM Holdings Inc. (“Holdings”), which shall include being the head of each of the Human Resources, Facilities, Real Estate and Security functions. During the Term (as defined below), the Executive shall, on a full-time basis and consistent with the needs of the Company and Holdings, use her skills and render services to the best of her ability. The Executive shall perform such activities and duties consistent with her position as the Chief Executive Officer of the Company and Holdings (the “CEOs”) shall from time to time reasonably specify and direct. During the Term, the Executive shall not perform any consulting services for, or engage in any other business enterprises with, any third parties without the express written consent of the CEOs, other than passive investments.
