Execution or Distress. Any execution, distress or attachment is levied against, or an encumbrancer takes possession of, the whole or any part of, the property, undertaking or assets of the Parent, any Borrower, any Obligor which is a Material Subsidiary or (for the purposes of Clause 3.5 (Vanilla Certain Funds Period) only) the Merger Sub, having an aggregate value of more than £35 million (or its equivalent in other currencies) and the same is not discharged within 30 days.
