Common use of Exercise/Sale Clause in Contracts

Exercise/Sale. At the sole discretion of the Committee, all or part of the exercise price and any withholding taxes may be paid by the delivery of an irrevocable direction (acceptable to the Committee) to a securities broker approved by the Company to sell Shares and to deliver all or part of the sales proceeds to the Company.

Exercise/Sale. At the sole discretion of With the Committee’s consent, all or any part of the exercise price Exercise Price and any withholding taxes may be paid by delivering (on a form prescribed by the delivery of Company) an irrevocable direction (acceptable to the Committee) to a securities broker approved by the Company to sell all or part of the Common Shares being purchased under the Plan and to deliver all or part of the sales proceeds to the Company.
