Common use of Fees and Other Amounts Clause in Contracts

Fees and Other Amounts. (i) The Tranche D Arranger Party shall have received all fees and expenses required to be paid or delivered by the Borrower to it on or prior to such date pursuant to that certain engagement letter, dated as of May 8, 2017 among the Tranche D Arranger Party and the Borrower and (ii) the Administrative Agent shall have received all fees and other amounts due and payable for the account of any Lender having a Tranche C Term Loan outstanding under the Existing Credit Agreement on or before the Incremental Amendment Effective Date, including accrued and unpaid interest with respect to the Tranche C Term Loans.
