Form 8023. Sellers shall have delivered, or caused to be delivered, to Buyer a duly executed IRS Form 8023 (and any comparable state or local forms or reports), in form and substance reasonably satisfactory to Buyer making the Section 338(h)(10) Election with respect to Triumph Accessory Services – Grand Prairie, Inc.
Form 8023. At Closing, ASTIHL will deliver to August two properly executed (by ASTIHL) and completed copies of Internal Revenue Service Form 8023 with respect to STI (collectively, the "Form 8023") and, as applicable, two properly executed and completed copies of any analogous forms required pursuant to state, local, or foreign tax law. Prior to the Closing Date, August will provide ASTIHL with the information regarding August necessary to enable ASTIHL to complete the Form 8023. The Form 8023 that ASTIHL deliver to August at the Closing will be complete in all respects and shall reflect all, and shall not contradict any, of the allocations set forth below. The parties shall be responsible for filing the Form 8023 and such other required forms as appropriate in accordance with applicable law.
Form 8023. Execute and deliver to Seller properly completed counterparts of Form 8023 (and of each and every state, provincial, local and foreign equivalent election form, if any) in form reasonably satisfactory to Seller.
Form 8023. Buyer shall have received an executed Form 8023 and schedules thereto from the Sellers.
Form 8023. An IRS Form 8023 (Elections Under Section 338 for Corporations Making Qualified Stock Purchases) containing the correct name, address, taxpayer identification number and tax year of the Shareholders and the correct information required with respect to the Company, and any other analogous or corresponding form required to be filed with any state, local or foreign governmental authority to effect the Section 338(h)(10) Election, executed by the Shareholders, has been delivered in a manner satisfactory to Purchaser.

Form 8023. The Seller shall have delivered to Purchaser a completed Form 8023 ("Elections under Section 338(h)(10) of the Code for a corporation making a Qualified Stock Purchase") in a form and substance reasonably satisfactory to Purchaser.
Form 8023. Each of the Cullman Shareholders, including (i) any dissenting Cullman Shareholders and (ii) each beneficiary and trustee of any Cullman Shareholder that is a trust, shall have signed Form 8023 at or prior to the Closing.
