Good Utility Practices. During any period when the O&M Agreement is not in full force and effect for whatever reason, including due to suspension (in whole or in part), expiration, or termination, UI shall maintain the UI Assets in compliance with Good Utility Practices and otherwise in a manner that does not adversely affect any of CL&P's transmission facilities that interconnect with any of the UI Assets.
Good Utility Practices. Seller shall not exercise any of the Reserved Rights and/or Reserved Ancillary Rights and/or any rights with respect to Excluded Communication Assets and/or Master Agreements in a manner that unreasonably interferes with Buyer's operation and maintenance of the Group of Purchased UI Assets for the transmission of electric energy as part of the regional transmission grid in accordance with Good Utility Practices. Good Utility Practices. The Parties shall conduct their affairs under this Agreement in accordance with Good Utility Practices. Good Utility Practices shall mean any of the practices, methods, and acts engaged in or approved by a significant portion of the electric utility industry during the relevant time period, or any of the practices, methods and acts which, in exercise of reasonable judgment in light of the facts known at the time the decision was made, could have been expected to accomplish the desired result as a reasonable cost consistent with good business practices, safety, and expedition. Good Utility Practices is not intended to be limited to the optimum practice, method or act to the exclusion of all others, but rather to be acceptable practices, methods or acts, generally accepted by the region.

Good Utility Practices. During any period when the O&M Agreement is not in full force and effect for whatever reason, including due to its suspension (in whole or in part), expiration, or termination, Buyer shall maintain the Transmission Facilities in compliance with Good Utility Practices and otherwise in a manner that does not adversely affect any CL&P Facilities that interconnect with any of the Transmission Facilities. The Step-In Agreement shall apply if Buyer fails to do so. The provisions of this Section 6.6(e) shall survive until the termination of this Agreement after the Closing pursuant to Section 7.7(d).

Good Utility Practices are not intended to be limited to the optimum practices, methods or acts to the exclusion of all others, but rather to delineate the acceptable practices, methods, or acts generally accepted in such industry.
Good Utility Practices. As necessary, Astoria Power shall provide Con Edison with maintenance outage requests and load limitation requests in order to perform necessary maintenance that is not indicated on a Maintenance Outage Schedule. If necessary, such request shall be renewed by Astoria Power on a weekly basis in accordance with the Firm Commitment. All such changes to the Maintenance Outage Schedules shall be subject to Con Edison's approval, such approval not to be unreasonably withheld.
