Common use of Invalid Provisions Clause in Contracts

Invalid Provisions. If any provision of this Agreement is held to be illegal, invalid or unenforceable under any present or future Law, and if the rights or obligations of any party hereto under this Agreement will not be materially and adversely affected thereby, (a) such provision will be fully severable, (b) this Agreement will be construed and enforced as if such illegal, invalid or unenforceable provision had never comprised a part hereof, (c) the remaining provisions of this Agreement will remain in full force and effect and will not be affected by the illegal, invalid or unenforceable provision or by its severance herefrom and (d) in lieu of such illegal, invalid or unenforceable provision, there will be added automatically as a part of this Agreement a legal, valid and enforceable provision as similar in terms to such illegal, invalid or unenforceable provision as may be possible.

Upon such determination that any term or other provision is invalid, illegal or incapable of being enforced, the parties hereto shall negotiate in lieu of such illegal, invalid or unenforceable provision, there will be added automatically as a part of good faith to modify this Agreement a legal, valid and enforceable provision so as similar to effect the original intent of the parties as closely as possible in terms an acceptable manner in order that the transactions contemplated hereby are consummated as originally contemplated to such illegal, invalid or unenforceable provision as may be the greatest extent possible.

If any provision of this Agreement is held to be illegal, invalid or unenforceable under any present or future Lawlaw, and if the rights or obligations of any party hereto under this Agreement will not be materially and adversely affected thereby, (a) such provision will be fully severable, ; (b) this Agreement will be construed and enforced as if such illegal, invalid or unenforceable provision had never comprised a part hereof, ; and (c) the remaining provisions of this Agreement will remain in full force and effect and will not be affected by the illegal, invalid or unenforceable provision or by its severance herefrom and (d) in lieu of such illegal, invalid or unenforceable provision, there will be added automatically as a part of this Agreement a legal, valid and enforceable provision as similar in terms to such illegal, invalid or unenforceable provision as may be possibleherefrom.

If any provision of this Agreement Lease is held to be illegal, invalid or unenforceable under any present or future Lawlaw, and if the rights or obligations of any party hereto under this Agreement Lease will not be materially and adversely affected thereby, (ai) such provision will be fully severable, (bii) this Agreement Lease will be construed and enforced as if such illegal, invalid or unenforceable provision had never comprised a part hereof, (ciii) the remaining provisions of this Agreement Lease will remain in full force and effect and will not be affected by the illegal, invalid or unenforceable provision or by its severance herefrom and (div) in lieu of such illegal, invalid or unenforceable provision, there will be added automatically as a part of this Agreement Lease a legal, valid and enforceable provision as similar in terms to such illegal, invalid or unenforceable provision as may be possible.

Invalid Provisions. If any provision of this Agreement is held to be illegal, invalid or unenforceable under any present or future LawLaws, and if the rights or obligations of any party hereto under this Agreement of Seller on the one hand and Purchaser on the other hand will not be materially and adversely affected thereby, (a) such provision will be fully severable, (b) this Agreement will be construed and enforced as if such illegal, invalid or unenforceable provision had never comprised a part hereof, (c) the remaining provisions of this Agreement will remain in full force and effect and will not be affected by the illegal, invalid or unenforceable provision or by its severance herefrom from this Agreement and (d) in lieu of such illegal, invalid or unenforceable provision, there will be added automatically as a part of this Agreement a legal, valid and enforceable provision as similar in terms to such illegal, invalid or unenforceable provision as may be possible.

Invalid Provisions. If any provision of this Agreement is held to be illegal, invalid or unenforceable under any applicable present or future Lawlaw, and if the rights or obligations of any party hereto under this Agreement will not be affected materially and adversely affected thereby, (a) such provision will be fully severable, (b) this Agreement will be construed and enforced as if such illegal, invalid or unenforceable provision had never comprised a part hereof, (c) the remaining provisions of this Agreement will remain in full force and effect and will not be affected by the illegal, invalid or unenforceable provision or by its severance herefrom and (d) in lieu of such illegal, invalid or unenforceable provision, there will be added automatically as a part of this Agreement by mutual agreement of the parties, a legal, valid and enforceable provision as similar in terms to such illegal, invalid or unenforceable provision as may be possible.

Invalid Provisions.
