Invitation for Competitive Bid Quotes. Promptly upon receipt of a Competitive Bid Quote Request, the Servicing Agent shall send to the Banks an Invitation for Competitive Bid Quotes substantially in the form of Exhibit C hereto, which shall constitute an invitation by the Borrower to each Bank to submit Competitive Bid Quotes offering to make the Competitive Bid Loans to which such Competitive Bid Quote Request relates in accordance with this Section.
Invitation for Competitive Bid Quotes. Promptly and in any event before the close of business on the same Business Day of delivery of a Competitive Bid Quote Request that is not rejected pursuant to Section 2.3.2, the Competitive Bid Agent shall send to each of the Revolving Credit Lenders (except as otherwise provided in Section 2.3.10) by telecopy an Invitation for Competitive Bid Quotes substantially in the form of Exhibit N hereto, which shall constitute an invitation by the Borrower to each such Revolving Credit Lender to submit Competitive Bid Quotes offering to make the Competitive Bid Loans to which such Competitive Bid Quote Request relates in accordance with this Section 2.3.
Invitation for Competitive Bid Quotes. Promptly and in any event before the close of business on the same Business Day of receipt of a Competitive Bid Quote Request that is not rejected pursuant to SECTION 2.23(a), the Administrative Agent shall send to each of the Lenders by telecopy an Invitation for Competitive Bid Quotes substantially in the form of EXHIBIT I-2 hereto, which shall constitute an invitation by the Borrower to each Lender to submit Competitive Bid Quotes offering to make the Competitive Bid Loans to which such Competitive Bid Quote Request relates in accordance with this SECTION 2.23.
Invitation for Competitive Bid Quotes. Promptly after receiving a Competitive Bid Quote Request, the Administrative Agent shall send to the Banks by telex or facsimile an Invitation for Competitive Bid Quotes substantially in the form of Exhibit D hereto, which shall constitute an invitation by the Borrower to each Bank to submit Competitive Bid Quotes offering to make the Competitive Bid Loans to which such Competitive Bid Quote Request relates in accordance with this Section.
Invitation for Competitive Bid Quotes. Invitation for Competitive Bid Quotes. The Administrative Agent shall (a) promptly upon receipt of a Competitive Bid Quote Request that is not rejected pursuant to Section 3.02, and in any event not later than (i) 11:00 a.m. (Chicago time) on the date of receipt of a Competitive Bid Quote Request, in the case of a Eurocurrency Auction or a EURIBOR Auction, and (ii) 10:00 a.m. (Chicago time) on the date of receipt of a Competitive Bid Quote Request, in the case of an Absolute Rate Auction, provide notice by telephone to each of the Banks (or, if fewer than all of the Banks shall have been specified therein, to each of the specified Banks) of the request set forth therein, and (b) promptly thereafter provide to each such Bank by telex or telecopy a copy of such Competitive Bid Quote Request or a summary of the contents thereof. If, pursuant to Section 3.02, the Borrower and the Administrative Agent shall agree as to times for the delivery of a Competitive Bid Quote Request other than those set forth in Section 3.02, and shall notify the Banks thereof, such notice to the Banks shall set forth in addition any changes in the times set forth in this Section 3.03. A Competitive Bid Quote Request shall not be revocable at any time after the Administrative Agent’s notice to the Banks by telephone of such Competitive Bid Quote Request.
Invitation for Competitive Bid Quotes. Promptly after receipt of ------------------------------------- a Competitive Bid Quote Request that is not rejected pursuant to Section ------- 2.17(b), the Competitive Bid Option Agent shall send to each of the Lenders by telecopy an Invitation for Competitive Bid Quotes substantially in the form of Exhibit C-2 hereto, which shall constitute an invitation by the Borrower to each ----------- Lender to submit Competitive Bid Quotes offering to make the Competitive Bid Loans to which such Competitive Bid Quote Request relates in accordance with this Section 2.17. ------------ -29-
Invitation for Competitive Bid Quotes. For any Competitive Bid Quote Request that is not rejected pursuant to Section 2B.2., the Agent shall send to each of the Lenders by telecopy, on or before 10:00 a.m. two (2) Business Days after Agent's receipt of a Competitive Bid Quote Request, an Invitation for Competitive Bid Quotes, which shall constitute an invitation by the Borrower to each Lender to submit Competitive Bid Quotes offering to make the Competitive Bid Loans to which such Competitive Bid Quote Request relates in accordance with this Article 2B. If Agent chooses to submit a Competitive Bid Quote to Borrower, it must do so on or before the earlier of (i) 10:00 a.m. two (2) Business Days after the receipt of the Competitive Bid Quote Request, or (ii) its submission of the Invitation for Competitive Bid Quotes to the Lenders.
Invitation for Competitive Bid Quotes. Reference is hereby made to that certain Amended and Restated Revolving Credit and Term Loan Agreement (as amended and in effect from time to time, the “Credit Agreement”) dated as of January 25, 2017 by and among (a) Xxxx-Xxxx Realty, L.P. (the “Borrower”), (b) JPMorgan Chase Bank, N.A., and the other lending institutions listed on Schedule 1.2 thereto (collectively, the “Lenders”) and (c) JPMorgan Chase Bank, N.A., individually and as Administrative Agent for the Lenders (the “Administrative Agent”). Capitalized terms which are used herein without definition and which are defined in the Credit Agreement shall have the same meanings herein as in the Credit Agreement. Pursuant to §2A.3 of the Credit Agreement, you are invited to submit a competitive bid quote to the Borrower for the following proposed [LIBOR][Absolute] Competitive Bid Loan(s): Requested Drawdown Date Principal Amount Interest Period Such Competitive Bid Quotes should specify a Competitive Bid Margin in the case of a requested LIBOR Competitive Bid Loan, or a Competitive Bid Rate in the case of a requested Absolute Competitive Bid Loan.
Invitation for Competitive Bid Quotes. Subsequent to timely receipt of a Competitive Bid Quote Request, the Administrative Agent shall send to the Lenders by facsimile an Invitation for Competitive Bid Quotes as promptly as possible but not later than in the case of a Eurocurrency Competitive Loan, 3:00 p.m. (Eastern time) four (4) Business Days prior to the proposed Drawdown Date and in the case of a Fixed Rate Competitive Loan, not later than 3:00 p.m. (Eastern time) on the first Business Day prior to the requested Drawdown Date, substantially in the form of Exhibit B-2 hereto (an "Invitation for Competitive Bid Quotes"), which shall constitute an invitation by the Co-Borrowers to each Lender to submit Competitive Bid Quotes offering to make Competitive Bid Loans to which such Competitive Bid Quote Request relates in accordance with this ss. 2.4. If, after receipt by the Administrative Agent of a Competitive Bid Quote Request from the Co-Borrowers in accordance with ss. 2.4.1.2, the Administrative Agent or any Lender shall be unable to complete any procedure of the auction process described in ss. 2.4.1.4 - 2.4.1.6 (inclusive) due to the inability of such Person to transmit or receive communications through the means specified therein, such Person may rely on telephonic notice for the transmission or receipt of such communications. In any case where such Person shall rely on telephone transmission or receipt, any communication made by telephone shall, as soon as possible thereafter, be followed by written confirmation thereof.
