Common use of Liability Insurance Clause in Contracts

Liability Insurance. Except as otherwise agreed to by the Company and Indemnitee in a written agreement, to the extent the Company maintains an insurance policy or policies providing directors' and officers' liability insurance, Indemnitee shall be covered by that policy or those policies, in accordance with its or their terms, to the maximum extent of the coverage available for any Company director or officer.

Liability Insurance. Except as otherwise agreed to by the Company and Indemnitee in a written agreement, to To the extent the Company maintains an insurance policy or policies providing directors' ’ and officers' ’ liability insurance, the Indemnitee shall be covered by that such policy or those policies, in accordance with its or their terms, to the maximum extent of the coverage available for any Company director or officer.

Liability Insurance. Except as otherwise agreed to by the Company and Indemnitee in a written agreement, to To the extent the Company Corporation maintains an insurance policy or policies providing directors' and ’ or officers' ’ liability insurance, Indemnitee shall be covered by that policy or those policies, in accordance with its or their terms, to the maximum extent of the coverage available provided under that policy or those policies in effect for any Company director other Director or officerOfficer of the Corporation, as the case may be.

Except as otherwise agreed to by the Company Companies and Indemnitee in a written agreement, to the extent the Company Companies maintains an insurance policy or policies providing directors' and officers' liability insurance, Indemnitee shall be covered by that policy or those policies, in accordance with its or their terms, to the maximum extent of the coverage available for any Company director or officer.

Except as otherwise agreed to by the Company and Indemnitee in a written agreement, to the extent the Company maintains an insurance policy or policies providing directors' ’ and officers' ’ liability insurance, Indemnitee shall be covered by that policy or those policies, in accordance with its or their terms, to the maximum extent of the coverage available for any Company director or officer.

Except as otherwise agreed to by the Company and Indemnitee in a written agreement, to To the extent the Company maintains an insurance policy or policies providing directors' ’ and officers' ’ liability insurance, Indemnitee shall be covered by that such policy or those policies, in accordance with its or their terms, to the maximum extent of the coverage available for any Company director non-employee director, if Indemnitee is a non-employee director, or for any Company officer, if Indemnitee is a Company officer, as the case may be.

Except as otherwise agreed to by the Company Corporation and Indemnitee in a written agreement, to the extent the Company Corporation maintains an insurance policy or policies providing directors' ’ and officers' ’ liability insurance, Indemnitee shall be covered by that policy or those policies, in accordance with its or their terms, to the maximum extent of the coverage available for any Company Corporation director or officer.

Liability Insurance. Except as otherwise agreed to by the Company and Indemnitee in a written agreementagreement with Indemnitee or for the benefit of Indemnitee, to the extent the Company maintains an insurance policy or policies providing directors' and officers' liability insurance, Indemnitee shall be covered by that policy or those policies, in accordance with its or their terms, to the maximum extent of the coverage available for any Company director or officer.

Except as otherwise agreed to by the Company Corporation and Indemnitee in a written agreement, to the extent the Company Corporation maintains an insurance policy or policies providing directors' and officers' liability insurance, Indemnitee shall be covered by that policy or those policies, in accordance with its or their terms, to the maximum extent of the coverage available for any Company Corporation director or officer.

Liability Insurance. Except as otherwise agreed to by the Company and Indemnitee in a written agreement, to To the extent the Company maintains an insurance policy or policies providing directors' ’ and officers' ’ liability insurance, Indemnitee shall be covered by that such policy or those policies, in accordance with its or their terms, to the maximum extent of the coverage available for any Company director or officerofficer of the Company. If, at the time of receipt of notice of a Claim pursuant to the terms hereof, the Company has directors’ and officers’ liability insurance in effect, the Company shall give prompt notice of the Claim to the insurers in accordance with the procedures set forth in the respective policies.

Except as otherwise agreed to by the Company and Indemnitee in a written agreement, to To the extent the Company or a Covered Entity maintains an insurance policy or policies providing directors' ’ and officers' ’ liability insurance, Indemnitee shall be covered by that such policy or those policies, in accordance with its or their terms, to the maximum extent of the coverage available for any Company director or officerofficer in his (or her) then capacity as such; provided, however, this Agreement shall not impose any obligation on the Company or a Covered Entity to obtain or maintain any such insurance policy or policies.

Except as otherwise agreed to by the Company and Indemnitee in a written agreement, to To the extent the Company maintains an insurance policy or policies providing directors' ’ and officers' ’ liability insurance, Indemnitee shall be covered by that such policy or those policies, in accordance with its or their terms, to the maximum extent of the coverage available provided thereunder for any Company director director, executive officer or officer. The availability of such insurance coverage, however, shall not exclude indemnification hereunder.

If, at the time of receipt of notice of a Claim pursuant to the terms hereof, the Company director or officerhas directors’ and officers’ liability insurance in effect, the Company shall give prompt notice of the Claim to the insurers in accordance with the procedures set forth in the respective policies.

Liability Insurance. Except as otherwise agreed to by the Company Trust and Indemnitee in a written agreement, to the extent the Company Trust maintains an insurance policy or policies providing directors' and officers' liability insurance, Indemnitee shall be covered by that policy or those policies, in accordance with its or their terms, to the maximum extent of the coverage available for any Company director or officerPerson under such policy.

Liability Insurance. Except as otherwise agreed to by the Company and Indemnitee in a written agreement, to To the extent the Company maintains an insurance policy or policies providing directors' ’ and officers' ’ liability insurance, Indemnitee shall be covered by that such policy Loanout Agreement - Orient Paper or those policies, in accordance with its or their terms, to the maximum extent of the coverage available for any Company director or officer.

Except as otherwise agreed to by the Company and Indemnitee in a written agreement, to the extent the Company maintains an insurance policy or policies providing directors' ’ and officers' ’ liability insuranceinsurance and coverage for Indemnitee under that policy or those policies is available on commercially reasonable terms, Indemnitee shall be covered by that policy or those policies, in accordance with its or their terms, to the maximum extent of the coverage available for any Company director or officer.

Liability Insurance. Except as otherwise agreed to by the Company and Indemnitee in a written agreement, to the extent the Company maintains an insurance policy or policies providing directors' ’ and officers' ’ liability insurance, Indemnitee shall be covered by that policy or those policies, in accordance with its or their terms, to the maximum extent of the coverage available for any Company director trust manager or officer.

Liability Insurance. Except as otherwise agreed to by the Company Companies and Indemnitee in a written agreement, to the extent the Company maintains Companies maintain an insurance policy or policies providing directors' and officers' liability insurance, Indemnitee shall be covered by that policy or those policies, in accordance with its or their terms, to the maximum extent of the coverage available for any Company director or officer.
