License Warranty. Seller hereby represents and warrants that it has the full power and right to grant to Buyer each of the licenses set forth in Section 13 of this Agreement.
License Warranty. The Licensor warrants (a) that it is the sole and exclusive owner of the Prosper System with the requisite power and authority to license the Prosper System in accordance with this Agreement; and (b) that neither the Prosper System nor the Company’s operation of the Prosper System nor the Licensor’s performance of its obligations hereunder will infringe any patent, copyright, trademark, trade secret or other proprietary right of any third party.
License Warranty. That nothing in this NON-DISCLOSURE AGREEMENT shall be deemed to grant a license, directly or by implication, estoppel, or otherwise, under any intellectual, industrial, or other property right associated with any information disclosed under this NON-DISCLOSURE AGREEMENT, whether such information is PROPRIETARY or not. Each party warrants that it has the right to make the disclosures under this Agreement. No other warranties are made by either party under this agreement. Any information exchanged under this agreement is provided “AS IS”.

License Warranty. In addition, North Shore warrants and represents that it has the legal right and power to grant the licenses granted to CTI under this Agreement.
