Misleading Statement. None of the information concerning the Buyer contained in any of the reports or proxy statements filed by the Buyer with the United States Securities and Exchange Commission (the “SEC”) contained any untrue or misleading statement of material fact or, when taken together, omittted any material fact or statement necessary to make the other facts or statements contained therein not materially misleading. There has been no material adverse change in Buyer since the date of its report most recently filed with the SEC.
