No Amendments. No amendments to this Subscription Agreement will be valid or binding unless set forth in writing and duly executed by the Subscriber and the Manager, on behalf of the Fund. No waiver of any breach of any provision of this Subscription Agreement will be effective or binding unless made in writing and signed by the waiving party.
