Common use of No Disputes Clause in Contracts

No Disputes. The Acquiror Company has delivered to Orient Come, Orient Come’s Shareholders and K’s Media true, correct and complete copies of all Tax Returns and examination reports and statements of deficiencies assessed or asserted against or agreed to by the Acquiror Company, if any, for each of the last two years and any and all correspondence with respect to the foregoing. There is no pending audit, examination, investigation, dispute, proceeding or claim with respect to any Taxes of the Acquiror Company, nor is any such claim or dispute pending or contemplated. The Acquiror Company has not receive notice of any such audit, examination, investigation, dispute, proceeding or claim with respect to any Taxes with respect to any periods prior to January 1, 2005.
