The Potential Purchaser agrees that neither the Owner, nor HFF shall have any liability for any reason to the Potential Purchaser or any Related Parties resulting from the use of the Offering Materials by any person in connection with the sale of, or other investments by the Potential Purchaser in the Property whether or not consummated for any reason. Neither the Owner, nor HFF is under any obligation to notify any of the undersigned or any Related Party or provide any further information to any of the undersigned or any Related Party if Owner and/or HFF become aware of any inaccuracy, incompleteness or change in the Offering Materials. The undersigned acknowledges and agrees that neither (i) the Owner nor any person acting on Owner's behalf or (ii) HFF nor any person acting on HFF’s behalf, have made any representation or warranty as to the accuracy or completeness of the Offering Materials, or the suitability of the information contained therein for any purpose whatsoever, and any representation or warranty (whether expressed or implied) in connection therewith is hereby expressly excluded. The undersigned further acknowledges and agrees that the Offering Materials provided to the undersigned are subject to, among other things, correction of errors and omissions, additions or deletion of terms, and withdrawal upon notice. Potential Purchaser Investor and the Related Parties shall rely only their own due diligence and investigation of the Property, including but not limited to any financial, title, environmental, structural and physical, tenant, leases, contracts, claims, tenant or any other matters.

The Potential Purchaser Investor further understands and acknowledges that the information used in the preparation of the Offering Materials was furnished by the Owner and has not been independently verified by HFF or the OwnerHFF, and is not guaranteed as to its completeness or accuracy. The Potential Purchaser Investor agrees that neither the Owner, HFF, nor any Owner/HFF Related Party shall have any liability for any reason to the Potential Purchaser Investor or any of its representatives or Related Parties Parties, or any other person resulting from the use of the Offering Materials by any person in connection with the purchase and sale of, or other investments by the Potential Purchaser Investor in the Property or any other matter, whether or not consummated for any reason. Neither the Owner, HFF nor any Owner/HFF Related Party is under any obligation to notify any of the undersigned or any Related Party or provide any further information to any of the undersigned Potential Investor or any Related Party if either Owner and/or or HFF become becomes aware of any inaccuracy, incompleteness or change in the Offering Materials. The undersigned acknowledges and agrees that neither (i) the Owner nor any person acting on Owner's behalf or (ii) , HFF nor any person acting on HFF’s behalfOwner/HFF Related Party, have has made any representation or warranty as to the accuracy or completeness of the Offering Materials, or the suitability of the information contained therein for any purpose whatsoeverwhatever, and any representation or warranty (whether expressed or implied) in connection therewith is hereby expressly disclaimed and excluded. The undersigned further acknowledges and agrees that the Offering Materials provided to the undersigned are subject to, among other things, correction of errors and omissions, additions or deletion of terms, and withdrawal upon notice. The undersigned further acknowledges and agrees that neither Owner, HFF, nor any Owner/HFF or any person acting on Owner's or HFF’s behalf, Related Party shall have any liability to the undersigned or Potential Investor and/or any Related Party and/or any other person resulting from the delivery to, or use by the undersigned or any Related Party of the Offering Materials or otherwise with respect theretoto the Property or the potential purchase and sale thereof. Potential Purchaser Investor and the Related Parties shall rely only their own due diligence and investigation of the Property, including but not limited to any financial, title, environmental, structural and physical, tenant, leases, contracts, claims, tenant or any other matters.. Notwithstanding the foregoing, the Potential Investor shall be entitled to rely the representations and warranties which are made in a final definitive agreement between the parties hereto with respect to the Potential Transaction, when, as and if executed, subject, however, to such limitations and provisions contained in any such definitive agreement. The provisions of this Section shall survive the expiration or termination of this Agreement

The undersigned acknowledges and agrees that neither (i) the Owner nor any person acting on Owner's behalf or (ii) HFF nor any person acting on HFF’s behalf, have has made any representation or warranty as to the accuracy or completeness of the Offering Materials, or the suitability of the information contained therein for any purpose whatsoeverwhatever, and any representation or warranty (whether expressed or implied) in connection therewith is hereby expressly excluded. The undersigned further acknowledges and agrees that neither Owner, HFF HFF, or any person acting on Owner's or HFF’s behalf, shall have any liability to the undersigned or any Related Party resulting from the delivery to, or use by the undersigned or any Related Party of the Offering Materials or otherwise with respect thereto. Potential Purchaser Investor and the Related Parties shall rely only their own due diligence and investigation of the Property, including but not limited to any financial, title, environmental, structural and physical, tenant, leases, contracts, claims, tenant or any other matters.

The Potential Purchaser Investor and Investor’s Broker further understands understand and acknowledges acknowledge that the information used in the preparation of the Offering Materials was furnished by the Owner and has not been independently verified by HFF or the OwnerXxxxxxxx, and is not guaranteed as to its completeness or accuracy. The Potential Purchaser agrees Investor and Investor’s Broker agree that neither the Owner, Xxxxxxxx, nor HFF any Owner/Xxxxxxxx Related Party shall have any liability for any reason to the Potential Purchaser Investor, Investor’s Broker or any of its representatives or Related Parties resulting from the use of the Offering Materials by any person in connection with the sale of, or other investments by the Potential Purchaser Investor in the Property whether or not consummated for any reason.
