Number of Authorized Shares. The total authorized number of shares of Convertible Preferred Stock is four hundred thousand (400,000); provided, however that, by resolution of the Board of Directors, the total number of authorized shares of Convertible Preferred Stock may be increased or reduced to a number that is not less than the number of shares of Convertible Preferred Stock then outstanding.
