Obligations and Representations and Warranties. 13.1 GLOBOTEK hereby represents and warrants to Licensee that (a) GLOBOTEK has full legal right, power and authority to execute, deliver and perform its obligations under this Agreement and (b) this Agreement constitutes a valid and binding agreement of GLOBOTEK, enforceable against GLOBOTEK in accordance with its terms.
