Operation & Maintenance Manual. 16.2.1 No later than 180 (one hundred and eighty) days prior to the Scheduled Completion Date, the Concessionaire shall, in consultation with the Independent Engineer, evolve an operation and maintenance manual (the “Operation & Maintenance Manual”) for the Operation & Maintenance Requirements (Schedule 10), Safety Requirements (Schedule 13) and Good Industry Practice, and shall provide 5 (five) copies thereof to the Participating ULBs and 2 (two) copies to the Independent Engineer. The Operation & Maintenance Manual shall be revised and updated once every 3 (three) years and the provisions of this Clause 16.2 shall apply, mutatis mutandis, to such revision.

Operation & Maintenance Manual. Unless specified to the contrary in the Project Brief, the Contractor shall provide an operation and maintenance manual, the content of which will be prescribed in the Project Brief, but will include the following as a minimum: • detailed maintenance information and requirements; • witnessing, testing and commissioning requirements • building decommissioning and demolition information; • non-technical building users’ guidance; • building performance requirements and the means of measuring such performance; • strategy for energy metering; and requirements for all relevant energy rating schemes e.g.) Building Research Establishment Environmental Assessment Method (BREEAM) or otherwise advised. Unless specified to the contrary in the Project Brief, the operation and maintenance manual shall be developed by the Contractor during the design and construction phase. This will be handed over in the pre- handover meetings and will be deemed to be a condition precedent to achieving Completion, or equivalent, on each Project Contract.

If You are active and current on Software Maintenance and Support, You may request reconfigurations of the Software subject to Your payment of Kofax’s then current standard rates for such reconfigurations. Kofax will have no liability to You arising from or related to Your cessation of Software Maintenance and Support, whether from Your failure to timely renew Software Maintenance and Support or otherwise. If You elect to reinstate Software Maintenance and Support following expiration of the Software Maintenance and Support for whatever reason, You will (a) pay a reinstatement fee equal to the sum of the current annual Software Maintenance and Support fees, any unpaid Software Maintenance and Support fees from the date of expiration to the date of reinstatement, and an amount equal to one additional year of Software Maintenance and Support fees, and (b) apply all upgrades, enhancements and new releases to the Software needed to bring Your Software current with Kofax’s most current supported version of the Software. Software Maintenance and Support pricing will increase for renewal terms by an amount not to exceed 5% of the prior year term fee, provided that increases associated with additional software license purchases, if any, will be incorporated into the base for the purpose of calculation of each annual increase.
