Common use of Other Termination Clause in Contracts

Other Termination. If the Executive's employment is terminated (x) other than by the Company without Cause or (y) other than by reason of the Executive's Disability, or (z) other than by the Employee for Good Reason, this Agreement shall terminate without further obligations to the Executive or the Executive's legal representatives under this Agreement, other than for payment of compensation earned through termination, and, in the case of death or Disability, for such benefits as may be provided under the Welfare Plans in accordance with their terms.

Other Termination. If In the event the Executive's ’s employment is terminated (x) terminates for any reason other than by the Company without Cause or (yas described in paragraph 9(a)(i) other than above, including by reason of the Executive's ’s death or Disability, the Company’s termination of Executive for Cause, or (z) Executive’s resignation other than by the Employee for Good Reason, this Agreement shall terminate without further obligations to then the Executive or the Executive's legal representatives under this Agreement, shall be entitled to receive severance and any other than for payment of compensation earned through termination, and, in the case of death or Disability, for such benefits only as may then be provided established under the Welfare Plans in accordance with their termsCompany’s existing severance and benefit plans and policies at the time of such termination.

Other Termination. If the Executive's ’s employment is hereunder shall be terminated (x) other than by the Company without Cause or (y) other than by reason of the Executive's Disability, or (z) other than by the Employee Executive for Good Reason, this Agreement shall terminate without further obligations to the Executive Reason or the Executive's legal representatives under this Agreement, by Employer for any reason other than for payment of compensation earned through terminationCause, and, in the case of death or Disability, for such benefits as may be provided under the Welfare Plans in accordance with their terms.then:

If In the event the Executive's employment is terminated (x) terminates for any reason other than by the Company without Cause or (yas described in Section 5.1(a) other than above, including by reason of the Executive's Disability, or (z) resignation other than by for Good Reason and the Employee Company's termination of the Executive for Cause, then the Executive shall be entitled to receive severance and any other benefits only as may then be established under the Company's existing severance and benefit plans and policies at the time of such termination applying to termination for Cause or resignation for Good Reason; provided, this Agreement however, that such severance and other benefits shall terminate without further obligations to the Executive or the Executive's legal representatives under this Agreement, other than for payment of compensation earned through termination, and, in the case of death or Disability, for such benefits as may be provided under the Welfare Plans in accordance with their termsnot exceed one month.

If the Executive's employment is shall be terminated if (xi) other than by the Company terminates Executive's employment without Cause or at any time upon 30 days' prior written notice, (ii) the Company terminates Executive's employment due to his disability, (iii) the Company elects not to renew this Agreement pursuant to Section 1(e), (y) other than by reason of the Executive's Disability, Executive dies or (z) other than by the Employee for Good Reason, this Agreement shall terminate without further obligations to the Executive or the Executive's legal representatives under this Agreement, other than for payment of compensation earned through termination, and, in the case of death or Disability, for such benefits as may be provided under the Welfare Plans in accordance with their terms.iv)

If the Executive's ’s employment is terminated (x) with the Company terminates other than as a result of an Involuntary Termination after a Change of Control, such as by the Company without for Cause or (y) other than by reason of the Executive's Disability, or (z) other than by the Employee for Good ReasonExecutive as a result of a voluntary resignation, this Agreement shall terminate without further obligations to then the Executive shall not be entitled to receive severance or the Executive's legal representatives under this Agreementother benefits hereunder, other than but may be eligible for payment of compensation earned through termination, and, in the case of death or Disability, for such those benefits (if any) as may then be provided established under the Welfare Plans in accordance with their termsCompany’s then existing severance and benefits plans and policies at the time of such termination.

If In the event the Executive's employment is terminated (x) terminates for death, Disability or Cause, or the Employee resigns for other than by the Company without Cause or (y) other than by reason of the Executive's Disability, or (z) other than by the Employee for Good Reason, this Agreement shall terminate without further obligations then the Executive will only be entitled to receive any benefits accrued to date and as may then be established under the Company's existing benefit plans and policies at the time of such termination. The Executive will receive only that compensation provided for herein accrued for periods served prior to the Executive or the Executive's legal representatives termination of employment but will not be entitled to any additional amounts under this Agreement, other than for payment of compensation earned through termination, and, in the case of death or Disability, for such benefits as may be provided under the Welfare Plans in accordance with their terms.

Other Termination. If In the event Executive's employment is terminated (x) with Employer terminates other than by the Company pursuant to a Covered Termination, including without Cause or (y) other than limitation, a termination for Cause, termination by reason of the Executive's Disabilitydeath, Disability or (z) other than retirement or a voluntary termination by the Employee for Good ReasonExecutive, this Agreement Executive shall terminate without further obligations be entitled to the Executive no benefits or the Executive's legal representatives rights under this Agreement, other than for payment of compensation earned through termination, and, in the case of death or Disability, for such benefits as may be provided under the Welfare Plans in accordance with their terms.

If In the event the Executive's employment is terminated (x) terminates for any reason other than by the Company as described in Paragraph 13(a)(i) above, including, without Cause or (y) other than limitation, by reason of the Executive's Disabilitydeath, Disability or (z) resignation other than by the Employee for Good Reason, this Agreement shall terminate without further obligations to then the Executive or the Executive's legal representatives under this Agreement, shall be entitled to receive severance and any other than for payment of compensation earned through termination, and, in the case of death or Disability, for such benefits only as may then be provided established under IMED's or AMI's existing severance and benefit plans and polices at the Welfare Plans in accordance with their termstime of such termination.

Other Termination. If In the event the Executive's ’s employment is terminated (x) terminates for any reason other than by the Company without Cause or (yas described in Section 10(a) other than above, including by reason of the Executive's Disability’s death, Disability or (z) resignation other than by the Employee for Good Reason, this Agreement shall terminate without further obligations to then the Executive or the Executive's legal representatives under this Agreement, shall be entitled to receive severance and any other than for payment of compensation earned through termination, and, in the case of death or Disability, for such benefits only as may be provided established under the Welfare Plans in accordance with their termsCompany’s severance and benefit plans and policies at the time of such termination.

Other Termination. If In the event Executive's ’s employment is terminated (x) terminates for any reason other than by the Company without Cause or (yas described in Section 9(a)(i) other than above, including by reason of the Executive's ’s death or Disability, the Company’s termination of Executive for Cause, or (z) Executive’s resignation other than by the Employee for Good Reason, this Agreement then Executive shall terminate without further obligations be entitled to receive severance and any other benefits only as may then be established under the Executive or Company’s existing severance and benefit plans and policies at the Executive's legal representatives under this Agreement, other than for payment time of compensation earned through such termination, and, in the case of death or Disability, for such benefits as may be provided under the Welfare Plans in accordance with their termsif any.

If the Company terminates Executive's employment is terminated (x) for reasons of Disability or Cause, or if Executive terminates his employment for other than by the Company without Cause or (y) other than by reason of the Executive's Disability, or (z) other than by the Employee for Good Reason, this Agreement Executive shall terminate without further obligations be entitled to receive severance and any other benefits only as may then be established under the Company's existing severance and benefit plans and policies at the time of such termination, subject to the Executive or the Executive's legal representatives under this Agreement, other than for payment terms of compensation earned through termination, and, in the case of death or Disability, for such benefits as may be provided under the Welfare Plans in accordance with their termsplans and policies.
