OVERALL PURPOSE OF THIS AGREEMENT. The Cities agree that: (1) Xxxxx xxx, at its sole discretion, provide Wholesale Water and/or Sewer Service to College Station if requested to do so by College Station in order to serve one or more Customers of College Station; and (2) College Station may, at its sole discretion, provide Wholesale Water and/or Sewer Service to Bryan if requested to do so by Bryan in order to serve one or more Customers of Bryan. Bryan’s discretion to provide Wholesale Water and/or Sewer Service to College Station under this agreement shall be exercised in writing by its City Manager. College Station’s discretion to provide Wholesale Water and/or Sewer Service to Bryan under this agreement shall be exercised in writing by its City Manager.

PART B sets forth the general terms and conditions governing this Agreement. The remaining Parts set forth, among other things, descriptions of the services, pricing, technical and business requirements, and physical and network security requirements.

  • Nature of this Agreement 3.1. This Agreement is a framework agreement within the meaning of regulation 2(1) of the Public Contracts (Scotland) Regulations 2015. Call-off Contracts are public contracts within the meaning of that regulation.

  • Execution of this Agreement This Agreement may be executed in multiple counterparts, each of which will be deemed to be an original copy of this Agreement and all of which, when taken together, will be deemed to constitute one and the same agreement. The exchange of copies of this Agreement and of signature pages by facsimile or other electronic transmission shall constitute effective execution and delivery of this Agreement as to the parties and may be used in lieu of the original Agreement for all purposes.

  • Assignment of this Agreement (a) We may assign, transfer, sub-contract or sell our rights, benefits or obligations under this Agreement at any time to any of our Affiliates or to an unaffiliated third party and you consent to this without us having to notify you.
