PAYMENT CALCULATIONS. All payments under this EPA will be calculated applying the following principles:

In consideration for Imprev’s obligations under this SOW, from and after the Launch Date, Market Leader will pay Imprev a monthly fee (prorated for any portion of a month) equal to the greater of (i) the Monthly Minimum, or (ii) the Monthly Revenue Share with respect to such calendar month. “Monthly Minimum” shall mean $[*]. “Monthly Revenue Share” shall mean the sum of (a) [*]% of the first $[*] of Revenue (as defined below) received by Market Leader during a calendar month, and (b) [*]% of any amount in excess of $[*] of Revenue received by Market Leader during such calendar month. “Revenue” shall mean (x) all amounts received by Market Leader from Sales Associates (or any other person or entity) purchasing the Market Leader Integrated Basic Product A La Carte and the Market Leader Integrated Premium Product, and (y) all amounts received by Market Leader that constitute Agreed Realty Generator Revenue (as defined below). “Agreed Realty Generator Revenue” means with respect to each Market Leader Integrated Realty Generator Product purchased by Sales Associates, the lesser of (aa) $[*] for each Sales Associate purchasing such product, or (bb) $[*].

For the sole purpose of calculating the terms laid out in Chapter Four (Procurement System)- regarding annual salary, extensions, qualified bids, first refusals, rewards, etc. as well as in Chapter V (Special Guarantee Fund and priority payment Article 24) and Annex # 3 (General Disciplinary Regulations)-in terms of economic sanctions, the amounts paid by the clubs or Public Limited Sports companies will be calculated both in terms of the employment contract as well as other collateral assignment agreements operating certain player image rights with the legal limits -subscribed much the same as with any limited company, if any, will be the assignee of such image rights -included in the amount of payments. No consideration shall be given, for any purpose, to any other agreement referring to the provision of services which prove to be unlawful or belonging to the jurisprudence of the Supreme Court in this area.
