Common use of PFPC System Clause in Contracts

PFPC System. PFPC shall retain title to and ownership of any and all data bases, computer programs, screen formats, report formats, interactive design techniques, derivative works, inventions, discoveries, patentable or copyrightable matters, concepts, expertise, patents, copyrights, trade secrets, and other related legal rights ("Intellectual Property") owned by PFPC, or licensed from third parties by PFPC and used by PFPC in connection with the services provided by PFPC to the Fund ("PFPC Intellectual Property"). Nothing herein shall be interpreted or construed to grant to the Fund any title or ownership of PFPC Intellectual Property. Nothing contained herein shall be interpreted to confer upon or grant to PFPC any right, title or interest in any Intellectual Property belonging to or licensed by the Fund.

PFPC Trust shall retain title to and ownership of any and all data bases, computer programs, screen formats, report formats, interactive design techniques, derivative works, inventions, discoveries, patentable or copyrightable matters, concepts, expertise, patents, copyrights, trade secrets, and other related legal rights ("“Intellectual Property"”) owned by PFPC, PFPC Trust or licensed from third parties by PFPC Trust and used by PFPC Trust in connection with the services provided by PFPC Trust to the Fund ("“PFPC Trust Intellectual Property"”). Nothing herein shall be interpreted or construed to grant to the Fund any title or ownership of PFPC Trust Intellectual Property. Nothing contained herein shall be interpreted to confer upon or grant to PFPC Trust any right, title or interest in any Intellectual Property belonging to or licensed solely by the Fund.
