PHYSICAL CUSTODY. The Restricted Stock may be issued in certificate form or electronically in “book entry”. The Secretary of the Company or such other representative as the Committee may appoint shall retain physical custody of each certificate representing Restricted Stock until all of the restrictions imposed under this Award Agreement with respect to the shares evidenced by such certificate expire or are removed. In no event shall the Participant retain physical custody of any certificates representing unvested Restricted Stock assigned to Participant.

If the parties are celebrating Christmas in the same area, then the parent not having the first half of Christmas shall have the children from 10:00 a.m. to 8:00 p.m. on Christmas Day. The parties may alter the holiday schedule, by mutual agreement which will be in writing and signed by both parties. Mother shall have the children on their birthday in even-numbered years and Father shall have the children on their birthday in odd-numbered years. The children shall be with Mother every Mother’s Day weekend and with Father every Father’s Day weekend. The transportation between the parents shall be handled equally. One parent shall pick up the children at the beginning of the visit and the other parent shall pick up the children at the end of the visit, unless the parties agree otherwise. PHYSICAL CUSTODY. Father and Mother shall have joint physical custody of the children. They will reside at Father and Mother’s individual residences in accordance with the custody schedule. Neither Father nor Mother shall remove the children to a permanent residence outside San Mateo or Santa Xxxxx County (need to specify a distance range that necessitates this provision) without sixty days prior written consent of the other party or the order of the Court.
