The consummation of the transactions contemplated by this Agreement, as set forth in Section 4.4 below (the “Closing”), shall take place at the offices of Hengeler Xxxxxxx in Düsseldorf at 10 a.m. on the last Business Day of the month in which all conditions to Closing set forth in Section 4.2 (a), (b) and (c) below are met, in no event, however, prior to December 30/31, 2004, or at any other time or place as the Parties may mutually agree.
