Common use of Prime Contract Clause in Contracts

Prime Contract. This Subcontract is made in order to assist the Investment Manager in fulfilling certain of the Investment Manager’s obligations under each investment management and investment advisory agreement (“IM Agreement”) between the Investment Manager and Templeton Global Investment Trust (the “Trust”), for itself or on behalf of its series, Txxxxxxxx Global Balanced Fund (formerly, Templeton Income Fund) (the “Fund”).

Prime Contract. This Subcontract is made in order to assist the Investment Manager in fulfilling certain of the Investment Manager’s obligations under each investment management and investment advisory agreement (“IM Agreement”) between the Investment Manager and Templeton Global Investment Franklin Txxxxxxxx Variable Insurance Products Trust (the “Trust”), for itself or on behalf of its series, Txxxxxxxx Franklin Global Balanced Real Estate VIP Fund (formerly, Templeton Income Fund) (the “Fund”).

Prime Contract. This Subcontract is made in order to assist the Investment Manager in fulfilling certain of the Investment Manager’s obligations under each the investment management and investment advisory agreement (“IM Agreement”) between the Investment Manager and Templeton Global Investment Income Trust (the “Trust”), for itself or on behalf of its series, Txxxxxxxx Global Balanced Templeton Constrained Bond Fund (formerly, Templeton Income Fund) (the “Fund”).

Prime Contract. This Subcontract is made in order to assist the Investment Manager in fulfilling certain of the Investment Manager’s obligations under each the investment management and investment advisory agreement (“IM Agreement”) between the Investment Manager and Templeton Global Investment Trust (the “Trust”), for itself or on behalf of its series, Txxxxxxxx Global Balanced Templeton Dynamic Equity Fund (formerly, Templeton Income Fund) (the “Fund”).

Prime Contract. This Subcontract is made in order to assist the Investment Manager in fulfilling certain of the Investment Manager’s obligations under each the investment management and investment advisory agreement (“IM Agreement”) between the Investment Manager and Templeton Global Investment Trust (the “Trust”), for itself or on behalf of its series, Txxxxxxxx Global Balanced Xxxxxxxxx Foreign Smaller Companies Fund (formerly, Templeton Income Fund) (the “Fund”).

Prime Contract. This Subcontract is made in order to assist the Investment Manager in fulfilling certain of the Investment Manager’s obligations under each investment management and investment advisory agreement (“IM Agreement”) between the Investment Manager and Templeton Global Investment Income Trust (the “Trust”), for itself or on behalf of its series, Txxxxxxxx Global Balanced Emerging Markets Bond Fund (formerly, Templeton Income Fund) (the “Fund”).

Prime Contract. This Subcontract is made in order to assist the Investment Manager in fulfilling certain of the Investment Manager’s obligations under each the investment management and investment advisory agreement (“IM Agreement”) between the Investment Manager and Templeton Global Investment Trust (the “Trust”), for itself or on behalf of its series, Txxxxxxxx Global Balanced Templeton Frontier Markets Fund (formerly, Templeton Income Fund) (the “Fund”).

Prime Contract. This Subcontract is made in order to assist the Investment Manager in fulfilling certain of the Investment Manager’s obligations under each the investment management and investment advisory agreement (“IM Agreement”) between the Investment Manager and Templeton Global Investment Franklin Xxxxxxxxx International Trust (the “Trust”), for itself or on behalf of its series, Txxxxxxxx Global Balanced Templeton Foreign Smaller Companies Fund (formerly, Templeton Income Fund) (the “Fund”).

Prime Contract. This Subcontract is made in order to assist the Investment Manager in fulfilling certain of the Investment Manager’s obligations under each the investment management and investment advisory agreement (“IM Agreement”) between the Investment Manager and Templeton Global Investment Franklin Txxxxxxxx International Trust (the “Trust”), for itself or on behalf of its series, Franklin Txxxxxxxx Global Balanced Allocation Fund (formerly, Templeton Income Fund) (the “Fund”).

Prime Contract. This Subcontract is made in order to assist the Investment Manager in fulfilling certain of the Investment Manager’s obligations under each the investment management and investment advisory agreement (“IM Agreement”) between the Investment Manager and Templeton Global Investment Income Trust (the “Trust”), for itself or on behalf of its series, Txxxxxxxx Global Balanced Bond Fund (formerly, Templeton Income Fund) (the “Fund”).

Prime Contract. This Subcontract is made in order to assist the Investment Manager in fulfilling certain of the Investment Manager’s obligations under each investment management and investment advisory agreement (“IM Agreement”) between the Investment Manager and Templeton Global Investment Trust Institutional Funds (the “Trust”), for itself or on behalf of its series, Txxxxxxxx Global Balanced Fund (formerly, Templeton Income Fund) Equity Series (the “Fund”).

Prime Contract. This Subcontract is made in order to assist the Investment Manager in fulfilling certain of the Investment Manager’s obligations under each investment management and investment advisory agreement (“IM Agreement”) between the Investment Manager and Templeton Global Investment Trust Institutional Funds (the “Trust”), for itself or on behalf of its series, Txxxxxxxx Global Balanced Fund (formerly, Templeton Income Fund) Foreign Smaller Companies Series (the “Fund”).
