Recitations, Definitions and Conflicts. MFP and City each confirm that the recitations set forth above are correct. Capitalized terms not defined herein shall have the meanings ascribed thereto in the Community Benefits Agreement. To the extent of any conflict between the terms of the Community Benefits Agreement and this Escrow Agreement, this Escrow Agreement shall prevail.
