Registered Form. (a) Each Note shall be in registered form (registered in the name of the Holder thereof or its nominee) and title thereof shall pass upon the execution and delivery to the Agent of a Transfer Certificate in relation thereto in accordance with Section 4.2(a) and the transfer of that Note being recorded in the Register.
