Representations and Warranties Concerning Transaction. Seller's and Parent's Representations and Warranties. Seller and Parent jointly and severally represent and warrant to Buyer and Guarantor that the statements contained in this Section 3(a) are correct and complete as of the date of this Agreement, except as set forth in Annex I attached hereto. Organization of Seller and Parent. Seller and Parent are duly organized, validly existing, and in good standing under the laws of the State of Delaware. Seller is duly authorized to conduct business and is in good standing under the laws of each jurisdiction in which it conducts a material portion of its business and where such qualification is required. Seller has full corporate power and authority to carry on the business in which it is currently engaged and to own and use the material properties owned and used by it.
