Resignation by Executive (other than for Good Reason). (a) Executive may resign for any reason from Executive’s employment with the Company at any time by giving notice as described in Section 6.7.

Resignation by Executive (other than for Good Reason). Executive may terminate Executive’s employment hereunder at any time by delivering Notice of Termination no less than 30 days prior to Executive’s Termination Date as defined in Section 2.2(f). If Executive’s Employment Period is terminated under this Section 2.5, Executive will be entitled to receive only the Accrued Amounts.

If Executive resigns his employment pursuant to this Section 5.6, then all PRSU Awards shall immediately terminate and Executive shall not be entitled to the issuance of any PRSUs under such awards, and any unvested PRSUs held by Executive shall immediately terminate and become forfeited as of the date of resignation; provided, however, that any vested PRSUs whose settlement has been deferred by Executive pursuant to the terms of his PRSU Award shall be settled according to the terms thereof.
