Common use of Safeguards Clause in Contracts

Safeguards. (a) Business Associate shall maintain appropriate safeguards to ensure that PHI is not used or disclosed other than as provided by this Agreement or as Required by Law. Business Associate shall implement administrative, physical and technical safeguards that reasonably and appropriately protect the confidentiality, integrity, and availability of any paper or electronic PHI it creates, receives, maintains, or transmits on behalf of Covered Entity.

Safeguards. (a) Business Associate shall maintain appropriate safeguards to ensure that PHI is not used or disclosed other than as provided by this Agreement or as Required by Law. Business Associate shall implement administrative, physical and technical safeguards that reasonably and appropriately protect the confidentiality, integrity, and availability of any paper or electronic PHI it creates, receives, maintains, or transmits on behalf of Covered Entity.

Safeguards. (a) Business Associate shall maintain use appropriate safeguards to ensure that PHI is not used or disclosed other than as provided by this Agreement or as Required by Law. Business Associate shall implement administrative, physical physical, and technical safeguards safeguards, including, among others, policies and procedures regarding the protection of PHI and/or ePHI, and the provisions of training on such policies and procedures to applicable employees, independent contractors, and volunteers, that reasonably and appropriately protect the confidentiality, integrity, and availability of any paper or electronic the PHI it and/or ePHI that Business Associate creates, receives, maintains, or transmits on behalf of Covered Entity.

Safeguards. (a) Business Associate agrees to implement and use appropriate safeguards to prevent use or disclosure of PHI other than as provided for by this Agreement. Business Associate shall maintain appropriate safeguards to ensure a comprehensive written information privacy and security program that PHI is not used or disclosed other than as provided by this Agreement or as Required by Law. Business Associate shall implement includes administrative, technical and physical safeguards appropriate to the size and technical safeguards that reasonably complexity of the Business Associate’s operations and appropriately protect the confidentiality, integrity, nature and availability scope of any paper or electronic PHI it creates, receives, maintains, or transmits on behalf of Covered Entityits activities.

Business Associate shall implement administrative, physical and technical safeguards that reasonably and appropriately protect the confidentiality, integrity, and availability of any paper or electronic PHI it creates, receives, maintains, or transmits on behalf of Covered Entity.

(a) Business Associate shall agrees to maintain appropriate safeguards to ensure that PHI is not used or disclosed other than as provided by this Agreement or as Required required by Lawlaw. (a) [i] Business Associate shall maintain appropriate safeguards as necessary to ensure that PHI is not used or disclosed other than except as provided for by this Agreement or as Required by LawAgreement. [ii] Business Associate shall implement administrative, physical and technical safeguards that reasonably and appropriately protect the confidentiality, integrity, integrity and availability of any paper or electronic PHI that it creates, receives, maintains, maintains or transmits on behalf of Covered EntityEntity as required by the HIPAA Security and Privacy Rule.

Safeguards. Business Associate shall implement administrative, technical and physical safeguards, consistent with the size and technical safeguards that reasonably and appropriately complexity of Business Associate’s operations, to protect the confidentiality, integrity, confidentiality of PHI and availability to prevent the use or disclosure of PHI in any paper or electronic PHI it creates, receives, maintains, or transmits on behalf manner inconsistent with the terms of Covered Entitythis Agreement.

The Business Associate will limit any use, integritydisclosure or request for use or disclosure of PHI to the minimum amount necessary to accomplish the intended purpose of the use, and availability disclosure or request in accordance with the requirements of any paper or electronic PHI it creates, receives, maintains, or transmits on behalf of Covered Entitythe Privacy Rule.

Safeguards. (a) Business Associate shall maintain use safeguards that are appropriate safeguards and sufficient to ensure that prevent Use or Disclosure of PHI is not used or disclosed other than as provided the Uses and Disclosures permitted or required by this Agreement or as Required by Law. Business Associate shall implement administrativeAgreement, physical including but not limited to implementing Administrative Safeguards, Physical Safeguards, and technical safeguards Technical Safeguards that reasonably and appropriately protect the confidentialityConfidentiality, integrity, Integrity and availability Availability of any paper or electronic PHI it creates, receives, maintains, or transmits on behalf of Covered EntityEPHI.

Business Associate shall implement and use administrative, physical physical, and technical safeguards that reasonably and appropriately protect the confidentiality, integrity, and availability of any paper PHI, and comply with the applicable requirements of the Security Rule with respect to Electronic PHI to prevent the use or electronic disclosure of such PHI it creates, receives, maintains, or transmits on behalf of Covered Entityother than as provided for by this BAA.

Safeguards. (a) Business Associate shall maintain appropriate safeguards to ensure that PHI is not used or disclosed other than as provided by this Agreement or as Required by Law. Business Associate shall implement appropriate administrative, physical and technical safeguards that reasonably and appropriately protect to prevent the confidentiality, integrity, and availability of any paper use or electronic PHI it creates, receives, maintains, or transmits on behalf disclosure of Covered EntityEntity PHI for any purpose other than those permitted by this Agreement.

Safeguards. (a) The Business Associate shall maintain appropriate safeguards agrees to ensure that PHI is not used or disclosed other than as provided by this Agreement or as Required by Law. Business Associate agrees to notify Covered Entity in the event of any paper breach of unsecured PHI held by or electronic PHI it createsunder the control of Business Associate, receivesincluding the identity of the affected individual(s) and all other relevant information, maintains, or transmits on behalf of Covered Entity.within three

Such safeguards include a written information security policy, a response plan for Security Incidents, periodic security awareness training, and confidentiality/nondisclosure agreements with those independent subcontractors and consultants with which Business Associate has delegated duties under this Agreement.

Part 164 that reasonably and appropriately protect the confidentiality, integrity, and availability of any paper or electronic PHI it createsand ensure that such PHI is not received, receivesused, maintainsaccessed, stored, transmitted, or transmits on behalf of Covered Entitydisclosed other than as provided by this Agreement or as required by law.

Business Associate shall maintain appropriate safeguards to ensure a comprehensive written information privacy and security program that PHI is not used or disclosed other than as provided by this Agreement or as Required by Law. Business Associate shall implement includes administrative, technical and physical safeguards appropriate to the size and technical complexity of the Business Associate’s operations and the nature and scope of its activities, including, but not limited to, the safeguards that reasonably and appropriately protect the confidentiality, integrity, and availability of any paper or electronic PHI it creates, receives, maintains, or transmits on behalf of Covered Entitylisted above.

Safeguards. (a) Business Associate shall maintain use appropriate safeguards to ensure that PHI is not used prevent use or disclosed other than as provided by this Agreement or as Required by Law. Business Associate shall implement disclosure of PHI, including the implementation of administrative, physical physical, and technical safeguards that reasonably and appropriately protect the confidentiality, integrity, and availability of any paper or electronic PHI that it creates, receives, maintains, or transmits on behalf of Covered EntityEntity in accordance with the Security Rule.

(a) Business Associate shall maintain agrees to use appropriate safeguards designed to ensure that prevent Use or Disclosure of the PHI is not used or disclosed other than as provided for by this Agreement or as Required by LawExhibit. Part 164 with respect to electronic PHI to prevent use or disclosure of such electronic PHI other than as provided for by this Agreement or as Required by Law. Business Associate shall implement administrative, physical and technical safeguards that reasonably and appropriately protect the confidentiality, integrity, and availability of any paper or electronic PHI it creates, receives, maintains, or transmits on behalf of Covered EntityAgreement.

Such safeguards include a written information security policy, a response plan for Security Incidents, periodic security awareness training, and confidentiality/nondisclosure agreements with those independent subcontractors and consultants with which Business Associate has delegated duties under this BAA.

Business Associate shall will implement administrative, physical and technical safeguards that reasonably and appropriately protect the confidentiality, integrity, integrity and availability of any paper or electronic the PHI it creates, receives, maintains, maintains or transmits on behalf of Covered Entity, and that reasonably prevent the use or disclosure of the PHI except as described in this Addendum. Business Associate shall comply, as applicable, with the requirements of the Security Rule.
