Shares Received. Subject to Sections 3.4 and 3.5, each holder of common stock of UtiliCorp on the Record Date (or such holder's designated transferee or transferees) will be entitled to receive in the Distribution a number of shares of Class B Common Stock equal to the number of shares of common stock of UtiliCorp held by such holder on the Record Date multiplied by a fraction the numerator of which is the number of shares of Common Stock beneficially owned by UtiliCorp on the Record Date and the denominator of which is the number of shares of common stock of UtiliCorp outstanding on the Record Date.
Shares Received. Subject to Sections 4.4 and 4.5, each holder of common stock of Southern on the Record Date (or such holder's designated transferee or transferees) will be entitled to receive in the Distribution a number of shares of common stock of Southern Energy equal to the number of shares of common stock of Southern held by such holder on the Record Date multiplied by a fraction the numerator of which is the number of shares of common stock of Southern Energy beneficially owned by Southern on the Record Date and the denominator of which is the number of shares of common stock of Southern outstanding on the Record Date.
Shares Received. Subject to Sections 7.4 and 7.5, each holder of common stock of Regco on the Record Date (or such holder's designated transferee or transferees) will be entitled to receive in the Distribution a number of shares of Resources Common Stock equal to the number of shares of common stock of Regco held by such holder on the Record Date multiplied by a fraction the numerator of which is the number of shares of Resources Common Stock beneficially owned by Regco on the Record Date and the denominator of which is the number of shares of common stock of Regco outstanding on the Record Date.

Subject to Sections 4.4 and 4.5, each holder of common stock of 3Com on the Record Date (or such holder's designated transferee or transferees) will be entitled to receive in the Distribution a number of shares of common stock of Palm equal to the number of shares of common stock of 3Com held by such holder on the Record Date multiplied by a fraction the numerator of which is the number of shares of common stock of Palm beneficially owned by 3Com on the Record Date and the denominator of which is the number of shares of common stock of 3Com outstanding on the Record Date.

Subject to SECTIONS 3.3 and 3.5, each holder of common stock of Adaptec on the Record Date (or such holder's designated transferee or transferees) will be entitled to receive in the Distribution a number of shares of common stock of Roxio equal to the number of shares of common stock of Adaptec held by such holder on the Record Date multiplied by a fraction the numerator of which is the number of shares of common stock of Roxio beneficially owned by Adaptec on the Record Date and the denominator of which is the number of shares of common stock of Adaptec outstanding on the Record Date.
Shares Received. Subject to Sections 4.4 and 4.5, each holder of common stock of HP on the Record Date (or such holder's designated transferee or transferees) will be entitled to receive in the Distribution a number of shares of common stock of Agilent equal to the number of shares of common stock of HP held by such holder on the Record Date multiplied by a fraction the numerator of which is the number of shares of common stock of Agilent beneficially owned by HP on the Record Date and the denominator of which is the number of shares of common stock of HP outstanding on the Record Date.

Subject to Sections 3.3 and 3.4 hereof, each holder of common stock of Ambassadors on the Record Date (or such holder's designated transferee or transferees) will be entitled to receive in the Distribution a number of shares of common stock of Education equal to the number of shares of common stock of Ambassadors held by such holder on the Record Date.
Shares Received. Subject to Sections 4.4 and 4.5, each holder of common stock of MRV on the Record Date (or such holder's designated transferee or transferees) will be entitled to receive in the Distribution a number of shares of common stock of Luminent equal to the number of shares of common stock of MRV held by such holder on the Record Date multiplied by a fraction the numerator of which is the number of shares of common stock of Luminent beneficially owned by MRV on the Record Date and the denominator of which is the number of shares of common stock of MRV outstanding on the Record Date.
Shares Received. Subject to Sections 7.3 and 7.4, each holder of common stock of Plains on the Record Date (or such holder's designated transferee or transferees) will be entitled to receive in the Distribution its pro rata share of the total shares of Spinco Common Stock Plains holds equal to a fraction the numerator of which is the number of shares of common stock of Plains held by such holder on the Record Date and the denominator of which is the number or shares of Plains common stock outstanding on the Record Date. At any time before the IPO Closing Date, the Plains Board of Directors may change these ratios in its sole discretion and without the approval of Spinco.
