Sufficient Resources. Throughout the term of this Contract, the AGENCY shall maintain sufficient financial resources to meet the expenses incurred during the period between the provision of Services and payment by the COUNTY. The COUNTY reserves the right to suspend any and all payments or reimbursements to the AGENCY should the AGENCY receive a notice of non-compliance regarding financial or programmatic issues from the COUNTY and the AGENCY fails to comply with such notice within the required timeframe.
Sufficient Resources. Buyer has sufficient financial resources, and at the Closing Buyer will possess sufficient funds, to permit Buyer to deliver the Interim Cash Purchase Price in accordance with Section 2.5 and the Final Cash Purchase Price in accordance with Section 2.7, subject to satisfaction of the conditions precedent to Buyer’s obligations to close the transactions contemplated by this Agreement.
Sufficient Resources. It has sufficient resources to perform or to cause its Affiliates to perform their respective financial and other obligations as contemplated by the Definitive Agreements.
Sufficient Resources. Clinical Training Site has adequate facilities and equipment for the student to carry out designated responsibilities. Clinical Training Site agrees to provide to each Trainee space and resources sufficient to complete clinical experience requirements, including but not limited to: individual and relational therapy hours, therapy office space, and physical or electronic space for client records. While the Clinical Training Site shall provide Trainee an opportunity to acquire and practice various skills related to the provision of mental health therapy, Trainee will provide regularly scheduled individual and family counseling as a primary activity. The nature of clients and services offered must be appropriate for students whose primary goal is developing family therapy skills; the student must not be required to find their own clients nor market their own services.
Sufficient Resources. BUYER has sufficient management and financial resources to obtain the required Regulatory Approvals for the transactions contemplated hereby. As of the date hereof, there is no pending or, to the best of BUYER’s knowledge after due inquiry, threatened legal or governmental proceedings against BUYER or any affiliate that would affect BUYER’s ability to obtain the required Regulatory Approvals or satisfy any of the other conditions required to be satisfied in order to consummate the transactions contemplated hereby.
Sufficient Resources. Upon Mirum’s receipt of the funds contemplated by the Investment Agreements, Mirum will have sufficient resources to conduct the Development of the Compounds and Licensed Product through the end of calendar year 2019.
Sufficient Resources. The Buyer has, and at the Effective Time will have, sufficient cash or cash equivalent funds available to pay the Merger Consideration and establish the Escrow Fund in accordance with the provisions hereof.
Sufficient Resources. Buyer will have available at the Effective Time, available financial resources to enable Buyer to lawfully satisfy its obligations pursuant to this Agreement. Buyer has and will have sufficient management and financial resources to obtain the required regulatory and other approvals for the Purchase and the transactions contemplated by this Agreement.
Sufficient Resources. Purchaser has immediately available funds in an aggregate amount sufficient to consummate the transactions contemplated by this Agreement and the other Ancillary Documents, including the payment of all fees and expenses payable by Purchaser in connection with transactions contemplated hereby.
Sufficient Resources. Collaborator represents and warrants that it has sufficient resources to perform the activities for which it is responsible under this Agreement in accordance herewith.
