Tax-Exempt Accounts. The Registrar shall allow the opening and maintenance of tax-exempt Registry Accounts upon submission of the Tax Exempt/Treaty Documents in accordance with the Terms and Conditions and such other documents as may be required by the Issuer and the Registrar. Such Registry Accounts shall be operated and maintained in accordance with the Registry Rules. Unless properly provided with satisfactory proof of the tax-exempt status of a XX Xxxxxx, the Registrar and Paying Agent may assume that such XX Xxxxxx is taxable and proceed to apply the tax due on the CPs. Notwithstanding the submission by the XX Xxxxxx, or the receipt by the Issuer or any of its agents, of documentary proof of the tax-exempt status of a XX Xxxxxx, the Issuer may, in its sole and reasonable discretion, determine that such XX Xxxxxx is taxable and require the Registrar and Paying Agent to proceed to apply the tax due on the CPs. Any question on such determination shall be referred to the Issuer.
