The Nasdaq Stock Market. The Common Shares are listed on The Nasdaq Global Select Market. To the Company’s knowledge, there are no proceedings to revoke or suspend such listing or the listing of the Common Shares. The Company is in compliance with the requirements of Nasdaq for continued listing of the Common Shares thereon and any other Nasdaq listing and maintenance requirements, and the execution, delivery and performance of this Agreement by the Company and the consummation by the Company of the transactions contemplated hereby (including the issuance of the Pre-Funded Warrants) will not result in any noncompliance by the Company with any such requirements.
The Nasdaq Stock Market. The Common Stock is listed on The Nasdaq Global Market (“Nasdaq”). To the Company’s knowledge, there are no proceedings to revoke or suspend such listing or the listing of the Shares. The Company is in compliance with the requirements of Nasdaq for continued listing of the Common Stock thereon and any other Nasdaq listing and maintenance requirements, and the execution, delivery and performance of this Agreement by the Company and the consummation by the Company of the transactions contemplated hereby (including the issuance of the Shares) will not result in any noncompliance by the Company with any such requirements. 4.16
The Nasdaq Stock Market. The Common Stock is listed on The Nasdaq Capital Market (“Nasdaq”) and, at the time of the issuance, the Shares will be listed for trading on Nasdaq. To the Company’s knowledge, there are no proceedings to revoke or suspend such listing or the listing of the Shares. The Company is in compliance with the requirements of Nasdaq for continued listing of the Common Stock thereon and any other Nasdaq listing and maintenance requirements, and the execution, delivery and performance of this Agreement by the Company and the consummation by the Company of the transactions contemplated hereby (including the issuance of the Shares) will not result in any noncompliance by the Company with any such requirements.
The Nasdaq Stock Market. The Public Securities have been authorized for listing, subject to official notice of issuance and evidence of satisfactory distribution, on the Nasdaq Stock Market, and the Company knows of no reason or set of facts that is likely to adversely affect such authorization.
The Nasdaq Stock Market. The NASDAQ Stock Market has not objected to the terms and conditions of this Agreement and the Series D Articles Supplementary.
The Nasdaq Stock Market. As of the Effective Date, the Common Stock is listed on The NASDAQ Global Market, and Zafgen has taken no action designed to, or which to its knowledge is likely to have the effect of, terminating the registration of the Common Stock under the Securities Exchange Act of 1934 (the “Exchange Act”), as amended or delisting the Common Stock from The NASDAQ Global Market. As of the Effective Date, Zafgen has not received any notification that, and has no knowledge that, the SEC or The NASDAQ Stock Market LLC is contemplating terminating such listing or registration.
The Nasdaq Stock Market. 11. The attached confirmation is an accurate and complete copy of the confirmation of the Sale and the undersigned confirms that it has not and will not cancel, revoke, reverse, or otherwise terminate such Sale.
The Nasdaq Stock Market. The Common Stock is listed on the Nasdaq Capital Market, and, except as disclosed in the SEC Documents, to the Company’s knowledge, there are no proceedings to revoke or suspend such listing or for the listing of the Shares. Except as disclosed in the SEC Documents, the Company is in compliance in all material respects with the requirements of Nasdaq for continued listing of the Common Stock thereon and any other Nasdaq listing and maintenance requirements.
The Nasdaq Stock Market. The Company’s Common Stock is listed on Nasdaq. The Company is in compliance with applicable Nasdaq continued listing requirements, and to the Company’s knowledge there are no proceedings pending or threatened against the Company to revoke or suspend such listing. The Company has not received any notice of, nor to the Company’s knowledge is there any basis for, the delisting of the Common Stock from Nasdaq.
The Nasdaq Stock Market. Prior to the Effective Date, Beacon shall, if required by the rules of Nasdaq, use reasonable best efforts to file with Nasdaq a Notification Form: Listing of Additional Shares with respect to the Beacon Shares issuable in connection with the Arrangement.
