Waiver of Privilege. The Department does not agree to withhold from disclosure any information described in this section whether or not it is contained in a Report. The Department will consider the submission, to the Department, of any of the information described below as a waiver of any privilege that may be provided by Part 148, thereby rendering the information subject to disclosure.
Waiver of Privilege. The Parties agree that any applicable attorney-client or other legal privilege shall not be deemed waived by this Contract.
Waiver of Privilege. Buyer covenants that, after the Closing, no attorney-client privilege belonging to the Company relating to any matter related to this Agreement, all ancillary agreements hereto (including the other Transaction Documents), or the transactions effected by any of them or the preparation or negotiation thereof, together with any written or other materials consisting of, containing, summarizing or embodying such communications or work product, occurring before the Closing will be waived, nor will the content of communications or work product related to such privilege be disclosed to any person or entity, without the prior written consent of the Stockholders’ Representative.
Waiver of Privilege. 5. By its production of Privileged Information to the USAO and the Investigating Agencies, BNY intends to waive BNY's attorney-client and work product privileges only with respect to the specific Privileged Information furnished, and any other attorney-client communications concerning or relating to RW Professional Leasing Services Corp., through and including July 31, 2002, for the purpose of permitting the USAO and the Investigating Agencies to use such Privileged Information in their investigation and any ensuing prosecution. The USAO and BNY agree that this Agreement shall constitute an express reservation of BNY's claim of privilege with respect to the Privileged Information for all other purposes.
Waiver of Privilege. Easydis expressly waives the right to invoke the privilege provided in article L. 132-2 of the French Commercial Code on the Products object of its obligation as freight forwarder under this Agreement and, within the limits authorised by the law, any other right pledged under contract that it may have the possibility of exercising to the detriment of Cdiscount.
Waiver of Privilege. The Parties hereby acknowledge and agree that, as to all communications between K&L Gates LLP (the “Firm”), on the one hand, and Seller, the Company and the Company’s Subsidiaries (prior to the Closing), on the other hand, that relate exclusively to this Agreement, the Transactions or the process leading up to this Agreement, the attorney-client privilege and the expectation of client confidence belong to Seller and will not pass to or be claimed by Purchasers, the Company or any of the Company’s Subsidiaries in the event of a legal dispute with Seller. Notwithstanding the foregoing, in the event a dispute arises between Purchasers, the Company and its Subsidiaries, on the one hand, and a third party other than Seller or its Affiliates, on the other hand, Purchasers, the Company and its Subsidiaries may assert the attorney-client privilege to prevent disclosure of communications involving attorney-client privilege among the Firm, the Company, its Subsidiaries, and/or Seller that relate exclusively to this Agreement or the Transactions.
Waiver of Privilege. The Parties hereby acknowledge and agree that, as to all communications between Xxxxxx, on the one hand, and the Parent, Seller and the Company (prior to the Closing), on the other hand, that relate to this Agreement or the transactions contemplated hereby, the attorney-client privilege and the expectation of client confidence belongs to the Parent and Seller and shall not pass to or be claimed by Buyer or the Company (after the Closing) in the event of a legal dispute with Parent or Seller.
Waiver of Privilege. Buyer covenants that after the Closing, no attorney-client privilege belonging to Century relating to any matter occurring before the Closing will be waived, nor will the content of communications or work product related to such privilege be disclosed to any person, without the express written consent of JWA.
Waiver of Privilege. Buyer, the Stockholders and the Company hereby acknowledge and agree that, as to all communications between Xxxxxx, Xxxxx & Xxxxxxx LLP (the “Firm”), on the one hand, and the Stockholders, Stockholders’ Representative and the Company (prior to the Closing), on the other hand, that relate to this Agreement or the transactions contemplated hereby, the attorney-client privilege and the expectation of client confidence belongs to the Stockholders and shall not pass to or be claimed by Buyer or the Company in the event of a legal dispute with any Stockholder or Stockholders’ Representative.
Waiver of Privilege. The Lessee and the Lessor agree that any applicable attorney-client or other legal privilege shall not be deemed waived by this Lease.
