THIRD AMENDED AND RESTATED RECEIVABLES SALE AGREEMENT, dated as of September 28, 2007 (this “Agreement”), among SIRVA Relocation Credit, LLC, a Delaware limited liability company, as Seller (the “Seller”), SIRVA Relocation LLC, a Delaware limited liability company (“SIRVA Relo”), as the initial master servicer (the “Master Servicer”), Executive Relocation Corporation, a Michigan corporation (“Executive Relo”), as a Subservicer, SIRVA Global Relocation, Inc., a Delaware corporation (“SIRVA Global”), as a Subservicer (in such capacity together with Executive Relo and any Additional SIRVA Entity, each a “Subservicer”), LaSalle Bank National Association, as agent for the Purchasers (the “Agent”), LaSalle Bank National Association, as a Purchaser, and the other Purchasers from time to time party hereto.
